Quantum Computing Inc. (NASDAQ: QUBT) has expanded its share authorization and revised its equity incentive plan following shareholder approval at its recent annual meeting. These actions are intended to give the company greater flexibility for future financing, acquisitions, and employee incentive programs.

Share Authorization Increase

The amendment approved by stockholders raises the authorized number of common shares from 250,000,000 to 450,000,000, bringing total authorized capital stock to 460,000,000 shares. The authorized portion of preferred stock remains unchanged at 10,000,000 shares, each with a par value of $0.0001. This increase provides additional capacity for equity offerings while preserving the existing capital structure.

Equity Plan Expansion

In parallel, the board modified the equity incentive plan, originally adopted in 2022, to increase the pool of shares that can be issued under the plan from 20,000,000 to 30,000,000. The amendment also removes previous restrictions on non‑employee director awards and updates the mechanism for annual issuances.

New Annual Increase Formula

The revised plan now ties the annual increase of authorized shares to a percentage of the common stock outstanding at the end of the immediately preceding calendar year. Specifically, the plan provides for an annual increase equal to 2% of that outstanding amount, replacing the earlier fixed addition of 1,000,000 shares. This change aligns the plan’s capacity with the company’s growth trajectory.

Voting Results

A majority of the company’s outstanding common shares were cast in the meeting, satisfying the quorum threshold required for action. Shareholders voted in favor of all proposals, including the election of six directors and the ratification of the independent auditor.

Delaware Filing

Following the meeting, Quantum Computing Inc. Filed a Certificate of Amendment with the Delaware Secretary of State on June 29. The amendment, which amends Section 4.1 of the company’s charter, became effective upon filing.

Executive Compensation Vote

Shareholders also expressed their views on the compensation of the named executive officers. The vote was advisory in nature and does not obligate the board or the compensation committee to take further action.

Future Implications

The increase in authorized shares and the expanded equity incentive plan give Quantum Computing Inc. Additional levers to support capital raises, strategic acquisitions, and talent retention initiatives. By aligning the share‑issuance framework with a growth‑oriented formula, the company positions itself to capitalize on evolving opportunities in the quantum computing sector while maintaining governance oversight.
