Why Instinct Bio Stock Is in Focus
Instinct Bio Technical Company Holdings Inc. (NASDAQ:BIOT) began trading, and by the close of the next session most of its market value was gone. It looked like a failed IPO. It was not one. BIOT reached Nasdaq through a SPAC deal in which nearly every public shareholder took cash instead of stock. What was left trading was a fragment, and that explains most of it.
The Latest Verified Development
The company announced that it had completed its business combination with Relativity Acquisition Corp. (OTC: ACQC), with trading to begin July 24 under "BIOT" for ordinary shares and "BIOTW" for warrants. That is a company statement.
Two official filings are consistent with it: a Form 8-A12B filed July 23 registering ordinary shares and warrants exercisable at $11.50, and a Nasdaq listing certification citing the BIOT symbol. No Form 6-K or shell-company report setting out closing terms had appeared on EDGAR, where the registrant is still carried under its pre-closing name, Relativity Holdings Inc., a Cayman Islands company.
How the Company Reached Nasdaq
Relativity signed a business combination agreement with Instinct Brothers Co., Ltd., with consideration of $200,000,000 in shares at $10.00 each, per its FY2025 Form 10-K. After an October 2025 amendment, the final prospectus puts consideration at $225,000,000, or 22,500,000 ordinary shares.
Relativity's own history matters. Its Q1 2026 Form 10-Q discloses that trading in its securities was halted in January 2023 and that it was delisted from Nasdaq. An earlier merger agreement, signed in February 2023, was terminated in May 2024. Shareholders approved the Instinct deal; it did not close for four months.
What Actually Moved the Share Price
The redemption data is the key number. Per the Form 8-K filed, holders of 15,279 Class A shares redeemed at approximately $12.62 each, leaving about $518,872 in trust supporting 40,622 public shares. The final prospectus modeled roughly 28.8 million shares outstanding after closing, with sellers holding about 76.5% and the sponsor about 19.1%, so the residual SPAC float was on the order of 0.14%.
Per aggregated market data observed, BIOT opened at $18.11 on July 24, traded between $13.00 and $50.00, and closed at $15.50 on 181,768 shares. On July 27 it opened at $8.80 and closed at $3.77, down about 76%, on 197,967 shares. Vendors disagree on the latest price: one data source showed $2.74.
Scarcity, not news, appears to have dominated: daily volume exceeded the residual public share count several times over, and price discovery in so thin an instrument fails in both directions.
Recent Financial Performance
Verified data on the public side is thin. Relativity's Q1 2026 10-Q reports $712,789 in trust, down from $794,299 at year-end; $5,071 in its operating bank account; a working capital deficit of $3,388,403; and a going-concern warning tied to a deadline.
The Form F-4 and 424B3 contain Instinct Bio's management discussion and pro forma financials, but those figures could not be extracted from accessible portions of the 10.8-megabyte prospectus, and vendors show conflicting numbers. No filing available gives audited post-closing revenue.
Business Model and Principal Assets
Describing BIOT simply as a regenerative-medicine listing is only partly right. Instinct Brothers Co., Ltd., founded in Japan, is presented in the March 2025 announcement as a vertically integrated stem cell group spanning research, ISO 9001-certified manufacturing, distribution, retail and franchised GENREVER clinics.
Commercially, the center of gravity is consumer. EDGAR classifies both registrants under SIC code 2844, perfumes, cosmetics and other toilet preparations, and the prospectus refers to "the cosmeceutical landscape." This is a consumer and clinic-services business built on stem cell science, not a drug developer.
Growth Opportunities
The March 2025 announcement flagged clinic expansion into Malaysia and Indonesia, more Japanese clinics, and a Cell Processing Center joint venture. The July 2026 closing release cited a longevity market growing from roughly $27.6 billion in 2025 to about $67.0 billion by 2035, attributed to SNS Insider, a company-selected sizing claim, not a forecast. Owning manufacturing, brands and distribution in one group removes intermediaries; whether that yields durable margins is unproven.
Balance Sheet and Funding Position
The deal delivered almost no cash: roughly $518,872 in trust after redemptions, against a SPAC working capital deficit of $3.39 million. No PIPE is disclosed in the filings reviewed, and no filing available discloses a completed placement. Warrants carry an $11.50 exercise price, far above recent levels, so they are unlikely to fund anything near term.
Why the Stock Is Highly Speculative
Most classic warning signs sit in primary filings. Public float from the SPAC is 40,622 shares, so liquidity is poor and quotes volatile. The final prospectus discloses that the post-closing company will be a "controlled company," the founder holding voting control over approximately 40.73% of shares, and warns it is "uncertain if Pubco will be able to meet Nasdaq's initial listing requirements."
Add the shell's going-concern language, a $10,000-per-month related-party administrative arrangement with a sponsor affiliate, a prior terminated deal, a Nasdaq delisting and trading halt in the SPAC's history, and lock-up expiry that would release most of 28.8 million shares into a market that cannot absorb size. A Form 425 filed in February 2026 went out with an unfilled placeholder, attributing a quotation to "[Partner Name/Instinct Rep]".
Dilution, Listing and Execution Risks
Sellers received 22,050,000 shares and the sponsor about 5,515,481. Any of it reaching the market after lock-up expiry is overhang measured in multiples of current float. Nasdaq continued-listing standards, minimum bid price, public holders, market value of publicly held shares, are a live concern, and the group carries US reporting obligations with minimal treasury resources.
Competitive and Industry Context
The stem cell skincare and longevity clinic sector is fragmented and lightly differentiated, with claims outside investors find hard to test. Rivals compete on formulation narratives and clinics on regulatory positioning. Vertical integration differentiates if both sides scale, but few listed comparables combine these activities, so benchmarking is limited.
Valuation and Investor Expectations
The company cited a pro forma enterprise value of approximately $288 million at closing, up from roughly $242 million at announcement. Market capitalization after the July 27 session was roughly $105 million to $109 million.
Conventional multiples are not meaningful here. There is no verified public revenue or earnings base, no analyst coverage located, and no meaningful float against which a price would be informative. A capitalization derived from 28.8 million shares priced by trading in a few tens of thousands of them is arithmetic, not valuation, and it changes continuously.
Conclusion
Verified: a de-SPAC listing, near-total redemptions, a minuscule float, an unfunded shell balance sheet, and a violent two-session repricing. Not verified: the operating group's revenue, profitability and cash. Those gaps close when the company files its first post-combination report. Until then, the share price says little about the business underneath it.
