Key Highlights

  • Big Tree Cloud rose 17.5% with no company announcement, a relatively modest move by its own recent standards after rising 952% intraday in June and trading 3.7 times its entire share count in July.
  • The company's Nasdaq market-value compliance deadline expired five weeks before this move with no disclosed outcome, leaving its listing status unresolved.
  • Revenue fell 51.5% in the first half of fiscal 2026 to just $504,145, with gross Margin collapsing to 2.6%, while a $100 million shelf registration sits largely undrawn against a $17.9 million market Capitalization .

A modest day, by this stock's standards

Big Tree Cloud (NASDAQ:DSY) closed at $3.77 on Friday 31 July 2026, up 17.45% on 73,530 shares, according to the screener snapshot. The figure could not be corroborated against a second end-of-day source, though it is internally coherent: it implies a prior close near $3.21, consistent with the verified $3.24 close on 29 July.

No single company-specific catalyst was confirmed from dependable public sources. The company's SEC filings end with a routine 6-K on 22 July reporting a director change, followed on 30 July by a Form 3 in which the incoming director reported holding zero securities. Its investor-relations page has published nothing since 8 April. No newswire item exists for May, June, July or August.

Context makes the move look small. On 10 June this stock rose 952.7% intraday. On 2 July it gained 50.7% on 17.4 million shares, roughly 3.7 times its entire share count in one session. Neither had a company announcement behind it either.

Two vendor figures that should not be republished

The screener showed a Market Capitalisation of $31.11 million. Big Tree Cloud has 4,751,873 shares outstanding (1,251,873 Class A and 3,500,000 Class B) following a one-for-twenty consolidation effective 23 February 2026. At $3.77 that is roughly $17.9 million. The $31.11 million figure implies about 8.25 million shares, which no filing supports.

The second figure is worse. Trailing Earnings were shown as negative $9.01 a share. The company's most recent reported loss per share is negative $0.4509, for the six months to 31 December 2025. And that figure is already restated for the reverse split, confirmed because the implied weighted share count matches the post-consolidation base. Multiply it by twenty and you get $9.018. The vendor appears to have applied the split adjustment a second time, to a six-month figure, and labelled the result as Trailing Twelve Months . It is wrong twice over.

Why the tape behaves this way

The free float is 848,646 shares. 17.9% of the company. Insiders hold roughly 80%, with Ploutos Group Limited holding all 3,500,000 Class B shares, or 73.7% of the total. The 73,530 shares that traded on 31 July represented about 8.7% of the entire float. In a security this constrained, order flow is the price.

What the company sells

Incorporated in the Cayman Islands and operating from Shenzhen, Big Tree Cloud became public in June 2024 through a combination with Plutonian Acquisition Corp. It sells personal-care products, principally sanitary napkins and panty liners, aimed at lower-tier Chinese cities, distributed through Tmall, JD.com, Douyin, WeChat channels, offline stores and distributors. It sold its Manufacturing facilities in August 2024 and moved to an asset-light model. Four customers accounted for approximately 71% of 2025 revenue.

In January 2026 the company announced an expansion into artificial intelligence, appointing a co-chief executive to lead it. That appointment rested on a letter of intent with a highly ranked data-science competitor rather than a contract, and the executive resigned on 2 May. Four months into the Job . No AI revenue has been reported.

The financial position

For the year to 30 June 2025, revenue fell 65.1% to $2,557,266. Gross margin collapsed from 66.9% to 32.2%. The operating loss was $38,213,264 and the net loss $32,530,121 (more than twelve times revenue) leaving cash of $1,678,970.

The first half of fiscal 2026, to 31 December 2025, was worse in the ways that matter. Revenue fell a further 51.5% to $504,145. Gross Profit was $13,269, a gross margin of 2.6%. The company is now selling goods at very close to cost. The net loss was $2,037,344 and cash stood at $4,498,438, following a September 2025 offering of 8,064,516 shares at $0.62 that raised $5.0 million gross. No guidance has been issued.

The bull case

Cash rose from $1.68 million to $4.50 million over the half, and the asset-light shift removed the Fixed Cost of owning factories. The operating loss narrowed dramatically in absolute terms (from $38.2 million for the full prior year to $2.1 million for the half) which reflects that the enormous fiscal 2025 loss was driven by non-recurring items rather than trading. Personal-care consumables in lower-tier Chinese cities is a real market, the social-commerce distribution channels are genuinely large, and at a $17.9 million market capitalisation the company carries roughly a quarter of that in cash.

The bear case

The listing itself may be at risk, and the position is unresolved. Nasdaq issued a Market Value of listed securities deficiency notice on 29 December 2025 and a market value of publicly held shares notice on 31 December, both with a cure deadline of 29 June 2026. That deadline has passed and no outcome has been disclosed, no compliance confirmation, no delisting determination, nothing. On the verified share count, market value of listed securities is roughly $17.9 million against a $50 million standard, and publicly held shares roughly $3.2 million against $15 million. The company transferred from the Nasdaq Global Market to the Capital Market in April, which is what issuers do to reach lower thresholds.

Behind that sits a shelf registration for up to $100 million filed in July 2025, of which only $5.0 million has been drawn. Leaving roughly $95 million of authority against a $17.9 million market capitalisation and an 849,000-share float. The prior takedown priced at $0.62 before the split. Governance has churned: the co-chief executive appointed for the AI push resigned after four months, two directors departed, and the auditor was replaced in March.

Valuation

No earnings multiple applies and none would be meaningful. At $3.77 across 4,751,873 shares the company is worth roughly $17.9 million against half-year revenue of $504,145, an annualised price-to-sales ratio near eighteen times for a Business whose revenue is halving and whose gross margin is 2.6%. Against cash of $4.5 million, the market is paying about $13 million for an operating business that generated $13,269 of gross profit in six months.

What to watch

Nothing in the record explains 31 July, and by this stock's own history it barely qualifies as an event. The genuinely material open question is the Nasdaq market-value position, whose cure deadline expired five weeks ago with no disclosure either way. Beyond that, the Annual Report for the year to 30 June 2026 would on precedent arrive in late October, though no date has been announced. The clearest upside is a resolution of the listing question in the company's favour. The clearest downside is $95 million of shelf capacity meeting an 849,000-share float.

Key Investor Takeaways

  • No catalyst was confirmable: The company's last substantive SEC filing is dated 22 July 2026 and its last press release 8 April 2026. The only filing on 30 July was a Form 3 recording a new director holding zero securities.
  • The screener market capitalisation is wrong: $31.11 million implies about 8.25 million shares. The verified count is 4,751,873, giving roughly $17.9 million at $3.77. No filing supports the higher figure.
  • The trailing earnings figure is wrong twice over: Negative $9.01 a share equals the six-month loss per share of negative $0.4509 multiplied by twenty; a reverse-split adjustment applied to an already-restated figure, and a half-year number labelled as twelve months.
  • This move is small by the stock's own standards: Big Tree Cloud rose 952.7% intraday on 10 June 2026 and traded 3.7 times its entire share count on 2 July, both without company announcements.
  • The float is under 850,000 shares: 848,646 shares, or 17.9% of the company, with insiders holding roughly 80% and Ploutos Group Limited holding all 3,500,000 Class B shares.
  • Revenue is collapsing and margins have gone: Revenue fell 65.1% in the year to June 2025 and a further 51.5% in the following half. Gross margin fell from 66.9% to 32.2% to 2.6%.
  • The Nasdaq market-value position is unresolved: Deficiency notices on both market value of listed securities and market value of publicly held shares carried a 29 June 2026 cure deadline. That date passed with no disclosure of the outcome in either direction.

Upcoming Catalysts

  • Disclosure of the outcome of the 29 June 2026 Nasdaq cure deadline for the market value of listed securities and market value of publicly held shares deficiencies. This is overdue and is not a scheduled event; it could arrive at any time.
  • Annual report on Form 20-F for the fiscal year ended 30 June 2026. No date has been announced; the prior year's report was filed on 30 October 2025.
  • Any takedown under the $100 million shelf registration declared effective in September 2025, of which approximately $95 million remains available. Any use would require a prospectus supplement.
  • Any substantive update on the artificial intelligence expansion announced on 2 January 2026, which rested on a letter of intent and whose designated co-chief executive resigned on 2 May 2026. No AI revenue has been reported.
  • Appointment of a replacement for the departed co-chief executive, or further board changes following two director departures in 2026.
  • Any resumption of company communication. Big Tree Cloud has issued no press release since 8 April 2026.

Principal Risks

  • Delisting risk is live and unresolved. Two separate Nasdaq market-value deficiencies carried a 29 June 2026 cure deadline whose outcome has not been disclosed. On verified share counts the company sits far below both the $50 million and $15 million thresholds.
  • Revenue is contracting severely (down 65.1% in the year to June 2025 and a further 51.5% in the following half) with gross margin falling from 66.9% to 32.2% to 2.6%.
  • Loss magnitude relative to scale: a $32.5 million net loss against $2.6 million of revenue in fiscal 2025, more than twelve times sales.
  • Approximately $95 million of unused shelf capacity against a roughly $17.9 million market capitalisation and an 848,646-share float. The prior takedown priced at $0.62 before the reverse split.
  • Extreme float mechanics: 17.9% of shares are freely tradeable, with verified precedent of a session trading 3.7 times total shares outstanding and a 952.7% intraday move without news. Price carries no reliable information about the business.
  • Governance churn: a co-chief executive appointed in January 2026 to lead the artificial intelligence push resigned in May, two directors departed, and the auditor was replaced in March 2026.
  • The artificial intelligence pivot rests on a letter of intent rather than a contract, the executive hired to run it has left, and no related revenue has been reported.
  • Customer concentration: four customers accounted for approximately 71% of fiscal 2025 revenue, and their identities are not disclosed.
  • Control concentration: Ploutos Group Limited holds all Class B shares, representing 73.7% of total shares outstanding. Voting rights attaching to Class B are not disclosed in the filings reviewed.
  • The minimum bid price compliance achieved in March 2026 came from the one-for-twenty consolidation rather than business improvement, and the share price has since fallen from a post-split intraday high of $19.37.
  • Chinese regulatory and structural risk, including overseas-listing filing requirements, data security rules and constraints on moving cash out of the mainland.
  • Data reliability: at least two widely published figures for this security (market capitalisation and trailing Earnings Per Share ) do not reconcile to the filings, making screener-driven analysis unsafe.

Conclusion

Big Tree Cloud's 17.5% rise barely registers against its own recent history of a 952% intraday spike and sessions trading multiples of its entire float, none of them tied to any company news. Behind the Volatility sits a business in genuine decline, revenue nearly halved in the latest half-year period, and gross margin has collapsed to near zero. The most consequential open question isn't the stock price at all: a Nasdaq listing compliance deadline expired five weeks ago with no disclosed resolution, leaving the company's exchange status genuinely uncertain heading into whatever comes next.
