Joint Venture Extension

Ivanhoe Electric (NYSE American: IE) and Saudi Arabian Mining Company (Maaden) have finalized an amended shareholders agreement for their 50/50 mining partnership in Saudi Arabia. The updated pact now runs until July 6, 2033, effectively lengthening the collaboration beyond the original five‑year framework. The venture will oversee exploration across roughly 48,500 km² of licensed territory within the Kingdom.

Funding and Technology Commitments

Under the initial arrangement, Ivanhoe Electric supplied $66 million to finance the joint venture’s activities. In addition, the company granted an exclusive, royalty‑free license for its Typhoon™ geophysical exploration system to be used throughout Saudi Arabia for the duration of the agreement.

Governance and Decision‑Making

A six‑member board, evenly split between representatives of Ivanhoe Electric and Maaden, governs the venture. Critical matters, such as budget adoption, any supplemental financing, and material contracts at the $2 million level, must now obtain 75 % approval from shareholders. Maaden occupies the chairmanship, while Ivanhoe Electric continues as the operator during the exploratory phase.

Operational Control Shifts

Should the partnership uncover a deposit deemed economically viable, Maaden will take over operational responsibilities for subsequent development. Neither side is compelled to advance a project; if one party declines, the other may proceed independently, with the non‑participating shareholder preserving rights to negotiate a transfer or royalty arrangement.

Exclusivity and Termination Clauses

While retaining its joint‑venture stake, Ivanhoe Electric may not enter other mining or exploration collaborations in Saudi Arabia without Maaden’s written consent. The agreement can only be terminated before the exploration phase concludes under a default event. If termination occurs, Typhoon™ equipment reverts to Ivanhoe Electric, though Maaden may seek continued access for other initiatives.

Shareholder Influence

Maaden owns more than 5 % of Ivanhoe Electric’s outstanding shares and is entitled to nominate a director to the company’s board. The mining conglomerate also retains registration rights and potential stock purchase options pursuant to earlier agreements.

Regulatory Filing Details

The amended agreement was filed with the U.S. Securities and Exchange Commission on July 7, 2026. The complete document, superseding the original 2023 pact.
