Binding Supply Deal De-Risks Future Revenue

Elevra Lithium Limited (NASDAQ:ELVR) shares gained in Friday's session after the company announced it had executed a binding Spodumene Concentrate Supply Agreement with Mangrove Lithium, converting a non-binding memorandum of understanding first announced in February 2026 into a definitive, long-term commercial arrangement. The agreement covers the long-term supply of spodumene concentrate produced at Elevra's North American Lithium operation in Quebec.

Under the terms of the deal, the initial contract term has been extended to seven years, with a further seven-year renewal option, up from the five-year term contemplated under the original memorandum. Contracted annual volumes total 122,000 dry metric tonnes in the first year, rising to 144,000 dry metric tonnes annually from the second year onward, on a take-or-pay basis, with Mangrove also holding the option to increase volumes by up to 20% in any given year, subject to available capacity.

Pricing Terms and Strategic Rationale

Importantly, the agreement includes a price floor that management expects to sit above the North American Lithium operation's cost of production, providing Elevra with downside protection over the life of the agreement. In contrast to the pricing structure contemplated under the original memorandum, the binding deal contains no price ceiling, preserving Elevra's full exposure to any future increase in spodumene concentrate prices. The company also expects to avoid ocean freight costs typically associated with shipping to international customers, since deliveries will go to a domestic North American customer.

Mangrove's proposed conversion facility, expected to be located in Eastern Canada, will process spodumene concentrate into battery-grade lithium hydroxide and carbonate using the company's proprietary electrochemical refining technology, pending Mangrove's own financing and a positive final Investment decision. Both Elevra and Mangrove have separately received strategic backing from the Canada Growth Fund, a C$15 billion investment vehicle established to support strategically important Canadian projects, which both companies have pointed to as a signal of government commitment to building a domestic lithium supply chain.

Company Background

Elevra Lithium, headquartered in Brisbane, Australia, is North America's largest hard-rock lithium producer, formed through the Merger of Piedmont Lithium and Sayona Mining. The company holds a globally diversified portfolio of lithium assets, including 100% ownership of the North American Lithium operation and a 60% stake in the Moblan Lithium Project, both in Quebec, Canada, along with the wholly owned Carolina Lithium Project in the United States and a prospective tenement portfolio for gold and lithium in Western Australia's Pilbara region.

Led by Managing Director and CEO Lucas Dow, the company has positioned itself as focused on supplying a reliable, secure and sustainable source of lithium to support the global electrification and clean energy transition. The binding supply agreement with Mangrove comes just ahead of Elevra's fiscal year 2026 results, due to be reported on August 28.

What Investors Will Watch Next

The binding supply agreement provides Elevra with a long-term, de-risked Revenue stream from a domestic customer, reducing its reliance on volatile international spodumene pricing and shipping costs. Investors will likely focus next on Mangrove's progress toward securing financing and a final investment decision for its conversion facility, as well as Elevra's upcoming fiscal year 2026 results for further detail on production and cost trends at North American Lithium.
