Leadership Contracts Revised

Hyperion DeFi (NASDAQ: HYPD) has updated the employment terms for its senior leadership team, formalizing severance protections and performance-based incentives. The changes, effective July 7, 2026, apply to the company’s top executives, including its general counsel.

Change-in-Control Safeguards

The revised agreements include provisions for accelerated equity vesting in the event of a change in control while executives remain employed. If an executive is terminated without cause within a year of such an event, they are entitled to a lump-sum payment equivalent to their target bonus for the termination year.

Severance and Health Benefits

Under the new terms, executives who are terminated, excluding cases of misconduct, disability, or voluntary resignation without good reason, receive 12 months of continued base salary and health insurance coverage. These provisions align with standard practices in the financial sector, ensuring consistency across the leadership team. Another executive’s bonus potential is limited to 35% of their base salary under similar conditions.

Salary Adjustment for General Counsel

The general counsel’s base salary has been adjusted to $325,000 as part of the revised agreement. This change reflects updated compensation standards for the role within the decentralized finance industry.

Regulatory Compliance

The agreements were filed with the U.S. Securities and Exchange Commission, complying with disclosure requirements under the Securities Exchange Act of 1934.

Industry Alignment

These revisions are designed to align executive compensation with best practices for publicly traded firms in the financial sector. The terms aim to support retention and mitigate risks during potential corporate transitions, reflecting broader trends in executive agreements.
