Genesco Inc. (NYSE: GCO) announced on June 29 that Jonathan Collins will step into the chief financial officer role in early August. The move marks the end of Mimi E. Vaughn’s interim CFO tenure, allowing her to refocus on her responsibilities as board chair, president, and chief executive officer.
Executive Appointment
Collins, 54, joins Genesco from America’s Car-Mart, Inc. (NASDAQ: CRMT), where he has served as chief financial officer since mid-2025. Before that, he spent over a decade at Walmart Inc. (NASDAQ: WMT), holding senior finance roles including vice president and CFO of Walmart Africa. Earlier in his career, he worked at KPMG LLP, where he advanced to partner.
Compensation Overview
Under the terms of his appointment, Collins will receive an annual base salary of $550,000. He will also be eligible for a short-term incentive award beginning in the next fiscal period, with a target amount of $412,500, which reflects 75% of his base salary. This award will be prorated based on his start date and service duration.
Short-Term Incentive Details
The short-term incentive program operates under Genesco’s established compensation plan, with potential adjustments at the discretion of the board. The target amount aligns with the company’s performance metrics for the upcoming fiscal cycle.
Long-Term Incentive Structure
Collins will also participate in a long-term incentive program, with a target value of $825,000 for the next fiscal period. This amount represents 150% of his base salary and will be split evenly between performance-based awards and restricted stock. The restricted stock portion will vest in three installments, with the first becoming available after one year and the remaining portions vesting in subsequent years.
Leadership Transition
With Collins’ arrival, Mimi Vaughn will transition out of the interim CFO position to concentrate on her leadership roles as CEO and board chair. The company’s filing confirms that Collins has no familial relationships with any Genesco director or executive officer, and no related-party transactions requiring disclosure under regulatory guidelines.
Governance and Disclosure
The Compensation Committee will oversee approval of the long-term incentive plan. In addition to his salary and incentives, Collins will receive a one-time relocation stipend of $25,000 to support his transition. He will also be covered by Genesco’s Executive Severance Plan and a change-of-control agreement.
Full details of the appointment are provided in Exhibit 99.1 of the company’s Form 8-K filing.
