GOWell Technology (NASDAQ:GOW) tumbled on Monday, September 28, closing at $1.99, down 37.03% from $3.16. It was the first session in which the stock traded under the GOW ticker, following the completion of a merger with a special purpose acquisition company, or SPAC, on September 25.
A New Listing Through a SPAC
A SPAC is a listed shell company that raises money from investors and then merges with a private business, giving that Business a listing without a traditional public offering. GOWell combined with Inflection Point Acquisition Corp. V, which traded as IPEX, and the combined company is now called GOWell Energy Technology, according to its releases.
Chief executive Guillaume Borrel said the listing marks a milestone and should bring the company greater visibility and investor exposure.
The company said the deal brought $70 million in gross proceeds from PIPE investments, which are private placements sold to institutional investors alongside a merger: $50 million at closing and $20 million from a private Placement signed in October 2025.
What GOWell Does
GOWell provides well logging and distributed sensing technologies for the energy sector. These tools monitor the condition of wells and support well integrity, risk management and production, in areas such as geothermal energy, carbon capture and storage, and Natural Gas storage. The company is headquartered in Singapore, has regional hubs in the United States and the United Arab Emirates, and says it operates in more than 50 countries.
No Explanation Offered
None of the company releases found discussed the stock's move, and the reason for the decline is not publicly known. Newly listed shares can trade unevenly in their first sessions, and smaller companies can swing widely on modest volume. The broader small-cap tape was weak: the Russell 2000 lost 19.64 points on Monday, and new 52-week lows outnumbered new highs on the Nasdaq by 461 to 50.
The Backdrop
The S&P 500 fell 59.72 points, or 0.77%, to 7,683.69, while the Dow Jones Industrial Average lost 347.11 points to 51,481.51 and the Nasdaq Composite dropped 248.34 points to 26,820.38. The Bond Market kept flashing warning signs, with the 10-year Yield at its highest since 2007 and the 30-year at its highest since 2004, which raises discount rates across the stock market.
What to Watch for GOWell
The company's first filings as a listed business, including any current reports and its plans for the PIPE proceeds, will be the main sources of new information. Investors will also follow how the stock trades in the days after its debut.
