A Quarter Management Says Missed Its Plan
PureCycle Technologies (NASDAQ:PCT) released third-quarter 2026 results on November 4, 2026, and the shares were quoted 11.83% lower at USD 2.46 in premarket trading on November 5, 2026, per the premarket quote. Revenue was USD 2.3 million, down from USD 4.5 million in the second quarter and roughly flat with USD 2.4 million a year earlier. PureFive resin production at the Ironton, Ohio plant was 5.2 million pounds, up from 4.5 million pounds in the second quarter but below 7.3 million pounds in the third quarter of 2025. Chief Executive Officer Dustin Olson said the third quarter fell short of the company plan.
Warrant Gain, Cash Burn and Financing
The reported Net Income of USD 6.9 million needs context. It was driven by a USD 58.6 million non-cash gain on the Fair Value of warrants, which can swing results when the share price falls, because the Liability the company owes to warrant holders shrinks. Adjusted EBITDA, which strips out such items, was negative USD 28.0 million, improved by USD 0.6 million from a year earlier. Monthly operations spending was USD 7.8 million, below the prior guidance of USD 8.0 million to USD 9.0 million. Total liquidity fell to USD 193 million from USD 236.9 million at the end of the second quarter, comprising USD 109.0 million of cash, USD 71.4 million of marketable securities and USD 12.6 million of restricted cash. Year to date the company issued USD 287.5 million of convertible senior notes and repurchased USD 241.1 million of earlier green convertible notes.
Capacity Plans, Risks and What Comes Next
Management said operational issues were resolved and production is now in line with current commercial demand. Railcar shipments to a large hot-lid customer began in October, and a long-term feedstock agreement with WM for up to 25 million pounds a year starts in November 2026. For Thailand, a construction permit was issued in September, estimated project cost is about USD 250 million with more than USD 85 million invested, and financing terms remain under negotiation. Full-year project spend is now about USD 51 million, up from USD 45 million to USD 50 million. Fourth-quarter Debt service is about USD 9.4 million, mainly the December 1 Revenue Bond payment. The risks are slow ramp-up, continued cash burn, convertible note obligations and financing uncertainty for new plants. Premarket quotes can reverse once regular trading begins, so the quoted decline is not a settled price.
Where Things Stand
PureCycle Technologies (NASDAQ:PCT) fell 11.83% premarket most plausibly because the quarter fell short of plan and showed little operating progress. Revenue of USD 2.3 million was half the prior quarter, adjusted EBITDA was negative USD 28.0 million, and the headline profit came from a warrant gain. Against that, liquidity of USD 193 million and an undrawn USD 200 million revolver give the company time, and management says production now matches demand. The balance of evidence favors patience on execution rather than a verdict either way. Watch fourth-quarter shipments, the WM feedstock ramp, Thailand financing and 2027 project spend guidance.
