Celero Costs and Interest Pull GAAP Profit Lower

Deluxe (NYSE:DLX) released third-quarter 2026 results on November 4, 2026. Operating Income fell to USD 52.7 million from USD 75.8 million, and net income dropped to USD 13.0 million, which the company attributed to acquisition-related costs and higher interest expense. Acquisition Transaction Costs were USD 9.8 million, restructuring and integration expense was USD 8.9 million, and interest expense rose to USD 35.0 million from USD 30.5 million. Acquisition amortization nearly doubled to USD 20.4 million. Management said the Celero addition mid-quarter accelerated growth. Over nine months, GAAP EPS was USD 1.46 against USD 1.54, while adjusted EPS rose to USD 2.99 from USD 2.71 and nine-month net income was USD 68.0 million against USD 70.2 million.

Payments and Data Grow While Print Shrinks

Merchant Services revenue rose to USD 135.1 million from USD 98.0 million, B2B Payments to USD 77.3 million from USD 73.1 million, and Data Solutions to USD 102.9 million from USD 89.2 million. Together those three grew about 21.1% (calculated), in line with management's figure of over 21%. Print revenue fell to USD 238.6 million from USD 279.9 million, about 14.8% lower (calculated), though it still earned a 35.3% adjusted EBITDA margin. Comparable adjusted EBITDA rose 9.6% to USD 127.1 million, a 22.9% margin. Data Solutions Margin narrowed to 26.8% from 32.6%, and B2B Payments widened to 29.1% from 23.0%.

Higher Outlook, Larger Debt Load and a USD 0.30 Dividend

The release says the full-year outlook was raised for revenue and adjusted EBITDA but does not state the prior ranges, and free cash flow was affirmed. Free cash flow for nine months rose 40.7% to USD 134.9 million, helped by operating cash flow, which rose 28.1% to USD 215.9 million. Acquisition payments of USD 642.9 million lifted net debt to USD 1.93 billion from USD 1.39 billion at year end, with cash of USD 74.9 million. The board approved a quarterly Dividend of USD 0.30 per share, payable December 1, 2026 to holders of record on November 17, 2026. Risks cited include tariffs, inflation, labor Supply and portfolio changes.

Where Things Stand

The gap is mostly one-time and financing items: Celero deal costs, restructuring and higher interest cut GAAP EPS to USD 0.28, while adjusted measures, which exclude those items, held near USD 1.06. Deluxe (NYSE:DLX) is still moving revenue toward Payments and Data, but Leverage has risen with the Celero purchase, and the release gives no explanation for the margin dip in Data Solutions. Watch Celero integration synergies, Print declines, interest costs and the December 1 dividend payment.
