  • Jasper Therapeutics acquired Kira Pharmaceuticals in an all-stock merger, issuing 5.2M common shares and 4.6M convertible preferred shares.
  • The merger triggers a stockholder vote within 120 days to approve preferred stock conversion and board changes.

Jasper Therapeutics has completed its acquisition of Kira Pharmaceuticals, a deal that reshapes its capital structure and dilutes existing shareholders to a fraction of their former stake. The transaction also includes a concurrent private placement that further shifts ownership dynamics, leaving pre-merger Jasper equityholders with just 6.68% of the company’s fully diluted shares.

Stock Issuance Reshapes Ownership

The merger consideration includes two classes of stock: voting common shares and convertible preferred shares, each with a par value of $0.0001. Kira’s shareholders received 5.2 million common shares, while the 4.6 million preferred shares are convertible into 61 common shares each, subject to stockholder approval. Jasper assumed Kira’s outstanding options, converting them into options to purchase 392,791 common shares and 351,201 preferred shares.

Before the merger, Jasper’s pre-transaction equityholders held 11.27% of the company’s fully diluted shares, a figure that plummeted to 6.68% post-deal, reflecting the significant dilution from the new issuance.

Preferred Stock Conversion Looms

The merger agreement mandates a stockholder vote within 120 days to approve the conversion of the preferred stock into common shares, alongside the ratification of a new board member and an amendment to increase authorized common stock. The preferred shares, which currently lack voting rights, will require majority approval from their holders to alter their terms or issue additional shares. This vote is critical for Jasper’s liquidity and governance, as the conversion would significantly expand the float and shift voting power.

The company plans to file a proxy statement with the SEC to outline these matters, setting the stage for a contentious or closely watched decision.

Ownership Shift Signals Strategic Pivot

The deal’s structure reveals a deliberate shift in control, with Kira’s former shareholders now holding 49.86% of Jasper’s common stock, while new investors from the concurrent private placement claim 43.46%. This near-even split suggests Jasper is prioritizing Kira’s assets and pipeline over its existing shareholder base, a move that could either accelerate growth or spark backlash. The company’s board unanimously approved the merger, indicating confidence in the strategic rationale, but the dilution and ownership changes may test investor patience.

The lock-up agreements, which restrict insiders from selling shares for 180 days, add another layer of stability, or constraint, depending on market reception.

Next Catalyst: Stockholder Vote Deadline

Investors should mark the 120-day deadline for the stockholder vote, which will determine whether the preferred shares convert and how the board evolves. The outcome will dictate Jasper’s capital structure, liquidity, and governance for the foreseeable future. If approved, the conversion could flood the market with new shares, potentially pressuring the stock price but also providing the company with greater financial flexibility.

Failure to secure approval, however, could trigger renegotiations or even legal challenges, adding uncertainty to an already complex transaction. Based on the Agreement and Plan of Merger filed July 16, 2026.
