Intrusion Inc. Has officially entered into a Membership Interest Purchase Agreement to acquire VigilAigent, marking a strategic expansion into advanced artificial intelligence-driven cybersecurity solutions. This acquisition strengthens Intrusion’s market position by integrating VigilAigent’s technology and expertise, which is expected to enhance the company’s revenue profile.

Acquisition Structure

The agreement to acquire VigilAigent is structured in two distinct phases. Under the terms, Intrusion will gain full ownership of the target company’s membership interests, reorganizing VigilAigent’s equity into a streamlined structure. This transaction allows Intrusion to assume full control over VigilAigent’s operations, enabling more efficient integration and strategic alignment.

Leadership Role

Following the initial closing, Intrusion’s President and CEO, Anthony Scott, will take on additional leadership responsibilities as Chief Executive Officer and Secretary of VigilAigent. This transition reflects Intrusion’s commitment to ensuring strong oversight and cohesive management as the two entities combine their operations.

Minority Protection

To protect the interests of the seller during the transition period, the operating agreement includes provisions requiring VigilAigent to maintain an equity interest of not less than 40.0% for the seller. This arrangement balances the need for operational control with the seller’s continued financial stake in the business.

Financial Security Measures

As part of the transaction, Intrusion has placed a specified number of shares into escrow to address potential indemnification claims that may arise after the closing. These shares will remain in escrow for a defined period, providing a financial safeguard for both parties as they work through the integration process.

Contingent Earnings Structure

The agreement includes performance-based earn-out provisions, allowing the seller to receive up to an additional $6,900,000 upon meeting certain financial targets. This structure involves the issuance of shares under regulatory exemptions, with restrictions on immediate resale to ensure alignment between both parties’ long-term objectives.

Share Issuance Overview

At the first closing, Intrusion issued a substantial number of shares to the seller, reflecting the value exchanged in the transaction. Following this issuance, the company’s total outstanding shares increased, demonstrating the deal’s impact on its capital structure. The transaction was conducted in compliance with securities regulations, including limitations on the number of shares that may be issued without triggering additional requirements.

Agreement Transparency

The purchase agreement includes standard representations, warranties, and indemnification terms designed to protect both parties. These provisions remain in effect for a set period following the first closing, with a defined liability cap to limit financial exposure. Such measures are common in mergers and acquisitions, ensuring clarity and risk mitigation throughout the integration process.

The full agreement is available as part of the company’s public filings.
