The Black Hills and Google Agreement
The trigger sits at NorthWestern's merger partner. In a company filing, Black Hills said it signed definitive agreements, effective September 30, 2026, to serve a planned Google data center in Cheyenne, Wyoming through 2048. It plans to invest about USD 1.8 billion from 2027 to 2029 to build 564 megawatts of gas generation, and to provide up to 590 megawatts of grid service. Google provided USD 399 million of refundable equipment advances and bears the cost of service. Black Hills expects about USD 150 million of Net Income in 2030. NorthWestern Energy Group, Inc. (NASDAQ:NWE) has no direct role in the contract, but shareholders will own part of the combined utility.
Why a Partner's Contract Moves NorthWestern
The companies agreed an all-stock merger of equals to form Bright Horizon Energy, serving about 2.2 million customers in eight states. Because NorthWestern holders will receive stock in the combined company, a large, customer-funded growth project at Black Hills improves the expected Earnings mix after closing. Management has also said the deal shows the combined utility's potential in serving artificial intelligence infrastructure. Shareholders of both companies approved the merger on April 2, 2026. FERC, Nebraska and South Dakota approvals are in hand, according to NorthWestern's second quarter release, leaving the Montana Public Service Commission, which held hearings in May 2026. NorthWestern also guides to 2026 earnings of USD 3.68 to USD 3.83 per share.
Risks and Dates to Watch
The main risk is regulatory. Montana consumer groups have raised bill and reliability concerns, and a conditioned or delayed approval could alter timing or terms. A rate-payer backlash is possible, because customers have reported higher bills. The Google project also depends on permits, equipment delivery and construction through 2029, and Liquidity was only about USD 339.2 million at June 30, 2026. NorthWestern Energy Group, Inc. (NASDAQ:NWE) is expected to report third quarter results on October 28, 2026, after second quarter adjusted earnings of USD 0.50 per share against USD 0.40 a year earlier. Dates to watch are the Montana ruling, reported for mid-October to mid-November, and the targeted close by December 31, 2026.
Where Things Stand
NorthWestern Energy Group (NASDAQ:NWE) rose on October 7, 2026 because the Black Hills Google agreement strengthened the growth case for the combined Bright Horizon Energy, with published market data showing a gain of about 8.1% rather than 9.6%. Nothing in the contract changes NorthWestern's own regulated business, so the move is a bet on the merger closing. A Montana decision is the swing factor. Until it arrives, the shares carry both the premium for the data center story and the risk that approval is delayed or conditioned.
