CleanCore Solutions (NYSE American: ZONE) has entered a strategic partnership aimed at expanding infrastructure for artificial intelligence and high‑performance computing workloads. Together with HST Technologies, the parties have structured a joint venture that targets the construction and operation of data center facilities capable of supporting cloud services and AI applications.
Joint Venture Structure
The newly created entity is organized as a limited liability company under an operating agreement. CleanCore Solutions holds a dominant interest of 99%, while HST Technologies receives a 1% stake in conjunction with a platform license that enables the venture to leverage its technology. In addition, HST Technologies is entitled to a carried participation of 20% in the venture’s upside, reflecting its contribution of project‑specific assets.
Initial Funding Commitments
CleanCore Solutions may deliver up to $100,000,000 in cash within a nine‑month window following the July 2 closing. The timing of these contributions is at CleanCore’s sole discretion, and the company does not incur any penalty for electing not to fund beyond the stated amount, aside from the potential effect on its ownership percentage. HST Technologies will act as the manager of the venture, although significant decisions will require the consent of CleanCore Solutions, ensuring alignment with the majority owner’s strategic objectives.
Profit Distribution Model
A preferred return of 12% on the contributed capital is allocated to CleanCore Solutions before any profit sharing occurs. Once this threshold is satisfied, the remaining earnings are divided with an 80% share to CleanCore and a 20% share to HST Technologies, reflecting the latter’s carried interest.
Future Buyout Option
The agreement provides CleanCore Solutions with an option, exercisable after a predetermined future date, to acquire HST Technologies’ carried participation at a price based on fair market value. This mechanism offers a pathway for CleanCore to increase its ownership if strategic conditions warrant.
Risk Considerations
The venture’s outlook depends on a range of factors, including the receipt of necessary regulatory approvals, the successful execution of construction schedules, and the ability to attract suitable tenants for the data center capacity. Delays in utility connections or changes in market demand could influence financial performance.
Forward‑Looking Statements
The filings related to this transaction contain forward‑looking statements that are subject to various risks and uncertainties. Actual results may differ materially from those projected. The press release announcing the partnership is attached hereto.
