Mobileye Global Inc. (Nasdaq:MBLY) announced it has signed a definitive agreement to acquire Mentee Robotics Ltd., an AI-first humanoid robotics company. The total consideration is valued at around USD 900 million, subject to adjustments. The payment includes approximately USD 612 million in cash and up to 26.2 million shares of Mobileye Class A common stock, contingent on the vesting of any Mentee options prior to closing.
The acquisition has received approval from Mobileye’s board of directors, a strategic transaction committee of independent directors, and Intel Corp., Mobileye’s largest shareholder. The transaction is expected to close in Q1 2026, pending regulatory approvals and standard closing conditions.
Strategic Expansion: From Vehicles to Physical AI
Mobileye has developed a significant pipeline in autonomous driving and advanced driver-assistance systems (ADAS), with projected automotive revenue of USD 24.5 billion over the next eight years. The acquisition of Mentee Robotics expands Mobileye’s focus into humanoid robotics, a sector described as part of physical AI—systems capable of understanding context, inferring intent, interacting with humans, and performing tasks safely and autonomously.
The integration of Mentee’s humanoid platform is expected to accelerate go-to-market strategies, with proof-of-concept deployments scheduled for 2026 and full commercialization targeted for 2028.
Mentee Robotics: Platform Capabilities
Founded four years ago, Mentee Robotics has developed a third-generation humanoid robot with vertically integrated hardware and software. Its AI platform relies on simulation-first training, few-shot learning, and human-to-robot mentoring instead of large-scale real-world data collection or continuous teleoperation.
Mentee’s humanoids are engineered for autonomous task execution, navigation, manipulation of objects, and natural instruction following. The development of “few-shot generalization” is aimed at enabling robots to acquire new skills from limited demonstrations, allowing deployment across diverse real-world tasks.
Operational and Integration Outlook
Mentee Robotics will operate as an independent unit within Mobileye while leveraging Mobileye’s AI training infrastructure and manufacturing relationships. Mobileye expects a modest increase in operating expenses in 2026, estimated at a low-single-digit percentage. The combination of technologies is intended to create synergies between vehicle autonomy and humanoid robotics, where improvements in one domain can inform and accelerate progress in the other.
