Baldwin Insurance Group (NASDAQ:BWIN), which reports as The Baldwin Group, is screened with third-quarter EPS of $0.42 against an estimate of $0.43, a shortfall of 2.81% as screened. The company's latest full set of reported results is for the second quarter, announced on Thursday, July 30. The main driver for the shares is a pending sale to private owners.
On Monday, September 14, Baldwin agreed to be acquired for $32.50 per share in cash by a new parent backed by Sequence Holdings and the Dell Family Office. The price is about an 88% premium to the unaffected June 17 close. Shares rose 7.93% on the day of the announcement.
Baldwin distributes insurance and provides risk management services through its brokerage and managing-underwriter units.
Baldwin Second-Quarter Results: How Much Did Acquisitions and Margins Add?

The GAAP net loss was $56.0 million, or $0.42 per share. Adjusted net income was $68.5 million, and adjusted diluted EPS was $0.48, up 14%, against a market estimate of $0.47. Revenue edged past a market estimate of about $492.3 million.

Baldwin Deal Terms: What Do $4.6 Billion and 20 Times EBITDA Imply?
The equity value is about $4.6 billion. Including about $3.1 billion of net debt assumed or refinanced, the implied enterprise value is about $7.7 billion, or roughly 20 times trailing twelve-month adjusted EBITDA of about $396 million.
The board and a special committee unanimously approved the transaction. It has no financing condition, requires shareholder and regulatory approvals, and is expected to close in the first quarter of 2027. Eligible colleagues can roll over part of their equity into the private company, which keeps some employee ownership in place after the sale.
After closing, the shares would be delisted from Nasdaq. The screen puts the market capitalisation at $4.49 billion, close to the implied equity value, which shows how tightly the shares track the offer.
Baldwin Next Steps: What Happens Before the 2027 Close?
Investors will watch the full third-quarter release, shareholder and regulatory approvals, and organic growth after the 2% in the second quarter. The path to a first-quarter 2027 close is the main event, with earnings now a secondary data point.
