Based in Purchase, New York, Mastercard is a Delaware corporation that describes itself as a technology company in the global payments industry, connecting consumers, financial institutions, merchants, governments and businesses through electronic payments. It has one reportable segment, Payment Solutions, and splits revenue into two categories: the payment network, and value-added services and solutions. Its fiscal year ends December 31.
Net Revenue Up 14% as Value-Added Services Outpace the Network
Net revenue for the quarter ended June 30, 2026 was $9,277 million, up from $8,133 million a year earlier. On a currency-neutral basis, a non-GAAP measure, growth was 12%. Operating income rose 17% to $5,587 million, with GAAP operating margin at 60.2% against 58.7%. GAAP net income was $4,388 million, or $4.97 per diluted share, against $3,701 million, or $4.07. Non-GAAP adjusted diluted earnings per share were $5.04.
Value-added services and solutions grew fastest, up 20% to $3,826 million on higher volumes, security, authentication and acquisition services, and pricing. Payment network revenue of $5,451 million included $5,997 million of customer rebates and incentives, which rose 22%. Gross dollar volume grew 9% in U.S. dollar terms and switched transactions grew 9%.
Costs also climbed. General and administrative expenses rose to $3,082 million from $2,766 million, and total operating expenses increased 10%. A litigation provision of $82 million compared with $96 million a year earlier. For the first six months, revenue reached $17,675 million, up 15%, and GAAP diluted earnings per share were $9.32 against $7.66. Those figures include a $202 million first quarter restructuring charge, which the company said is intended to enable reinvestment.
Debt, Capital Returns and the BVNK Agreement
Mastercard completed a $5.0 billion bond offering in June, in tranches maturing between 2028 and 2036. Total debt stood at $24.6 billion at June 30, up from $19.0 billion at year-end, including $710 million of commercial paper. Nothing was drawn on its $8 billion revolving credit facility, and cash and cash equivalents were $11.3 billion. Operating cash flow for the half was $6.8 billion.
The company paid $1.5 billion in dividends and bought back 17.6 million shares for $8.9 billion in the half. The board declared a $0.87 quarterly dividend on June 16, payable August 7 to holders of record on July 9. Another $0.7 billion of shares were repurchased through July 27, leaving $7.8 billion under existing programs.
In March 2026, Mastercard signed a definitive agreement to buy BVNK Holdings for $1.5 billion, excluding customary adjustments, with up to $300 million of further contingent consideration tied to performance targets. The deal is subject to regulatory approval.
Litigation and Upcoming Milestones
The filing details several legal matters. Mastercard's accrual for the U.S. interchange litigation fell to $149 million from $637 million after payments made in 2026. A revised settlement of the merchant rules-relief class received preliminary court approval in June, with a final approval hearing scheduled for November 2026. In April 2026, a new putative merchant class action sought damages for interchange fees since January 2019, and the company and Visa are opposing it.
In the United Kingdom and Europe, more than 0.5 billion pounds, about $0.7 billion, of merchant damages claims remain unresolved. An appeal on certain liability findings is scheduled for February 2027.
The report gives no financial guidance. Management anticipates closing the BVNK acquisition before the end of the third quarter of 2026, and intends to keep paying a quarterly dividend, subject to board discretion and legally available funds. These are company expectations.
