Record Earnings at Wayne Bank

Norwood Financial Corp (NASDAQ:NWFL), the holding company of Wayne Bank, reported third quarter 2026 results on Tuesday. Net income was a record USD 11.8 million, up USD 3.4 million from USD 8.3 million a year earlier, and diluted earnings per share were USD 1.08 against USD 0.89. On a linked-quarter basis, net income rose from USD 9.3 million and EPS from USD 0.86.

President and Chief Executive Jim Donnelly said the bank delivered record net income and net interest income for the second consecutive quarter, and that margin expansion reflected disciplined balance sheet management and a one-time benefit from resolving a borrower bankruptcy. The company credited disciplined execution and the contribution of the Presence Bank acquisition.

Margin, Revenue and Returns

Net interest income was USD 28.0 million, up USD 7.6 million from USD 20.5 million and up USD 1.2 million from USD 26.8 million in the second quarter. Net interest margin on a fully taxable equivalent basis was 4.01%, compared with 3.63% a year earlier and 3.90% in the linked quarter. Net interest spread was 3.36%.

Pre-provision net revenue was USD 15.4 million, a 53% increase from USD 10.0 million, which management attributed to a larger balance sheet and operating leverage. Return on average assets was 1.60% versus 1.40%, and return on tangible equity was 18.51% versus 16.76%. Brokerage revenue grew 41% following the transition of the investment platform to Cetera Wealth Services.

Balance Sheet and Credit

Total assets were USD 2.951 billion, compared with USD 2.412 billion. Loans receivable were USD 2.294 billion, up from USD 1.815 billion, and total deposits were USD 2.509 billion, up from USD 2.074 billion. Tangible book value per share was USD 22.35, compared with USD 21.19 a year earlier and USD 22.96 at the end of the second quarter.

The allowance for credit losses was USD 25.1 million, or 1.10% of total loans. Nonperforming loans were 0.73% of total loans and nonperforming assets were 0.59% of total assets. The provision for credit losses was USD 100 thousand, down from USD 1.9 million in the second quarter.

In the second quarter the company recorded a USD 729 thousand charge-off tied to a borrower relationship that filed for Chapter 11 protection. In the third quarter, one non-accrual loan and the underlying business were purchased by a new entity, and all past due interest was paid. Wayne Bank had advanced debtor-in-possession financing during the bankruptcy, which was settled with interest and fees. The payoff raised third quarter interest income, which management put at about USD 400 thousand, lifted the margin, and lowered provision expense because the loan left non-accrual status. Two loans tied to the borrower remain, with total exposure of USD 7.1 million.

For the nine months, net income was USD 24.8 million versus USD 20.3 million, and diluted EPS was USD 2.29 versus USD 2.22. Net interest income was USD 79.4 million versus USD 57.4 million, and net interest margin was 3.87% versus 3.46%. Return on average assets was 1.15% against 1.16%. Excluding merger-related and benefit-plan restructuring fees, year-to-date pre-provision net revenue was USD 35.2 million versus USD 24.3 million and return on average assets was 1.39% versus 1.20%.
