Deal Finalised

Real Asset Acquisition Corp. Completed its business combination with IQM Quantum Computers, a Finnish quantum computing firm, marking the culmination of a SPAC merger announced earlier this year. The transaction, closed on July 1, 2026, saw the combined entity debut on Nasdaq under the ticker IQMX, with warrants trading separately as IQMX WS.

The deal reflects growing investor appetite for quantum technology amid intensifying global competition in high-performance computing and next-generation hardware.

PIPE Funding Secured

Concurrent with the merger, IQM raised approximately $145 million through a private placement at $10.00 per share, involving institutional and accredited investors. The PIPE funding, structured as part of the company’s capital raise, bolstered its financial position ahead of its public listing. PIPE investors now hold 7.7% of the post-merger entity, reflecting strong institutional confidence in IQM’s long-term potential.

Ownership Structure

Following the merger, IQM’s pre-combination shareholders retained a significant majority stake in the newly public company, accounting for 84.7% of the fully paid shares outstanding. The remaining 7.7% is held by PIPE investors, ensuring a balanced distribution of ownership while preserving the influence of IQM’s original stakeholders. These adjustments were designed to minimise dilution for existing shareholders while reinforcing the sponsor’s commitment to the merged entity.

Warrant Terms

All outstanding Real Asset Acquisition warrants were converted into IQM warrants, exercisable at $11.50 per ADS. The exercise price was set in line with the valuation established during the SPAC’s initial public offering, offering a clear path for warrant holders to participate in the company’s growth.

Lock-Up Restrictions

The SPAC sponsor and certain insiders are subject to transfer restrictions covering 70% of their IQM ADSs. The lock-up mechanism is intended to support market stability during the early trading period while encouraging long-term value creation. The restrictions apply to shares received in exchange for founder shares and private placement warrants.

Market Debut

IQM ADSs commenced trading on the Nasdaq Global Select Market on July 2, 2026, with ordinary shares listed on Nasdaq Helsinki the following day. The dual-listing approach enhances accessibility for both European and U.S. Investors, positioning IQM as a prominent player in the rapidly evolving quantum computing sector.

The company’s public debut comes at a time of heightened interest in quantum technologies, driven by advancements in hardware, software, and commercial applications across industries such as finance, pharmaceuticals, and logistics.
