Quhuo Limited (NASDAQ:QH), a Beijing-based platform for local life services, has spent 2026 dealing with a trading suspension, a Nasdaq hearing, a reverse split and the termination of its American depositary share program. Investors are weighing a loss-making year against a listing retained only subject to strict conditions.

Business and sector

Quhuo operates in China's gig economy. Its segments are on-demand food delivery, mobility solutions and housekeeping and accommodation solutions. Mobility covers shared-bike maintenance, ride-hailing and used-vehicle export. Food delivery dominates the mix, accounting for RMB2,334.2 million of the RMB2,525.9 million full-year 2025 revenue. The business is labor-intensive, with thin margins.

Latest announcements

On April 2, 2026 Quhuo published unaudited results for the second half and full year of 2025, and on the same day announced a Nasdaq delisting determination. According to a Form 6-K filed on May 22, 2026, Nasdaq suspended trading in the company's ADSs from April 6, 2026 because the closing bid price had been 10 cents or less for ten consecutive trading days. A one-for-30 ADS ratio change took effect on April 27. The company appeared before a Nasdaq Hearings Panel on May 5, and on May 18 the Panel granted continued listing subject to conditions. These included applying to transfer to the Nasdaq Capital Market, publicly committing not to conduct external financing for one year, and issuing no securities in external financings through September 23, 2026.

A further 6-K dated July 15, 2026 said the ADR program would terminate before the market opened on July 17, each ADS converting into 0.84375 post-consolidation Class A ordinary shares after a 32,000-for-one share consolidation, with the shares expected to trade directly on Nasdaq under QH.

Financials and context

For 2025, revenue fell 17.1% to RMB2,525.9 million (about $361.2 million). Food delivery declined 17.5%, mobility fell 34.0% after the exit from some ride-hailing cities, and housekeeping and accommodation grew 75.9% to RMB76.0 million. The company swung to a net loss attributable to shareholders of RMB150.5 million, against net income of RMB1.6 million in 2024. Adjusted EBITDA was a loss of RMB159.4 million.

General and administrative expenses rose 26.3%, including RMB13.1 million of ADS issuance costs. At December 31, 2025, cash, cash equivalents and restricted cash were RMB40.0 million, short-term debt was RMB113.4 million and the accumulated deficit stood at RMB1,523.3 million. Management said a reorganization launched in October 2025 had lowered expense ratios, and expected efficiency and profitability to improve more visibly from the second quarter of 2026.

Risks

The first risk is regulatory. The Panel imposed a monitor period running to May 13, 2027; the company has said that if it fails to meet applicable Nasdaq standards during that period, it cannot submit a compliance plan and would face immediate delisting proceedings. It has also stated that there is no assurance it will satisfy the Panel's conditions. The second is liquidity: with modest cash, short-term borrowings and a commitment not to raise outside capital, the business must fund itself from operations. Third, the dramatic consolidation ratio and the removal of the ADS structure change how the shares are held and may affect liquidity and investor access. Finally, delivery margins are exposed to rising labor costs.

Monitor Period, Capital Market Transfer and the Wons Partnership

Investors should watch whether the second-quarter 2026 improvement that management forecast appears in the next set of financial results. They should also track the Panel monitor period and the Capital Market transfer. Quhuo has also announced a partnership with Wons, dated April 27, 2026, to expand AI data collection and training services. Future reporting will show whether it contributes meaningfully.
