Clear Beat, Softer Fourth Quarter

Tenable Holdings, Inc. (NASDAQ:TENB) shares fell in pre-market trading after a third-quarter report that beat estimates but included a softer fourth-quarter revenue outlook. Revenue of $276.4 million rose 9.5% and was above the high end of guidance on every metric. Non-GAAP earnings per share of $0.63 included a one-time tax benefit of about three cents.

Fourth-quarter revenue guidance of $277 million to $280 million implies growth of 6.2% to 6.9%, a slowdown from the third quarter. That may have prompted profit-taking after a strong run toward the $50.21 52-week high, which the stock approached before the report.

Tenable is a Columbia, Maryland exposure management company founded in 2002 and best known as the creator of the Nessus vulnerability scanner. Its subscription Tenable One platform unifies visibility, prioritisation and remediation across IT, cloud, identity, operational technology and AI environments. It serves roughly 40,000 to 44,000 organisations, including about 65% of the Fortune 500, with about 2,000 employees.

Platform Momentum and Profitability

Net dollar expansion rose to 107% from 106%, and Tenable One accounted for a record 59% of new business, up from 50% in the second quarter and 39% a year earlier, with more than 5,000 customers on the platform. Non-GAAP operating income was $74.9 million, a 27.1% margin up 380 basis points, and unlevered free cash flow rose 18.7% to $69.4 million. Gross margin was 81.5%.

Management said AI and frontier models are accelerating vulnerability discovery, creating demand for exposure management. Prompt volume on its Hexa AI product rose as much as fivefold after a recent vulnerability disclosure, though the effect on third-quarter results was small.

Capital Actions and Guidance

The company issued $800 million of convertible notes, repaid its term loan B and extended debt maturity to September 2031. It repurchased 5.3 million shares for $170.5 million in the quarter, and $54 million remains on the buyback authorisation.

Full-year 2026 revenue guidance was raised to $1.084 billion to $1.087 billion, about 8.6% growth at the midpoint, with non-GAAP operating income of $270 million to $273 million and EPS of $2.16 to $2.19. Fourth-quarter EPS is guided to $0.56 to $0.58. Management expects net dollar expansion to hold at 107%.

Tenable has a market capitalisation of about $5.4 billion and a 52-week range of $15.73 to $50.21. The consensus rating is neutral, and several research firms adjusted price targets.

What Investors Will Weigh Next

The platform shift is working and profitability is rising, but the guide shows slower revenue growth. Fourth-quarter execution and the pace of Tenable One adoption will show whether growth can re-accelerate in 2027.
