Reverse Split and Warrant Resets Add to Pressure on Nexera Shares

Nexera Technologies (NASDAQ:NEXR) shares are trading down 17.77% today, extending a steep slide. The stock closed at $0.825 on October 16, so today's price near $0.26 sits roughly 69% below that level. No company announcement dated today was identified, so the latest filings offer the clearest context.

In a foreign issuer report filed October 28, the Israeli company said a 1-for-5 reverse split of its ordinary shares will take effect November 6, with trading on a split-adjusted basis starting that day on the Nasdaq Capital Market. Authorized Share Capital is unchanged, and fractional shares will be rounded up.

Nexera, formerly known as Jeffs' Brands until a March 2026 name change, describes itself as a data-driven E-commerce company focused on homeland security and AI-based solutions. Its offerings span 3D imaging, perimeter intrusion detection and counter-drone systems.

KeepZone AI Divestiture for Up to $6 Million

The same filing disclosed that Nexera signed a definitive agreement on October 27 to sell its KeepZone AI business to a global aerospace and defense company. The price is up to $6 million, though the filing does not say how much is guaranteed at closing.

For a company whose share count is about 2.5 million before the split, the sale is large relative to its size. The filing does not detail how proceeds would be used.

Two Warrant Repricings Within a Week Dilute the Share Picture

Exercise prices on the January 2024 Series A Warrants, a June 2026 note warrant and a September 2026 note warrant were first adjusted to $0.609488, effective October 22. They were then lowered to $0.38148, effective October 28. The filing states that no other warrant terms changed.

Lower exercise prices make conversion easier for holders, which can add to the share count if the warrants are exercised. Earlier this year, in June, the company priced a $1.2 million registered direct offering at $1.00 per share, with accompanying warrants at the same strike.

Revenue Base and Thin Market Value Frame the Sub-$0.30 Price

Data from a market tracker put annual sales at about $16.83 million and last quarterly revenue, reported August 31, at $5.21 million, with a loss per share of $25.90 on a split-adjusted basis. That tracker's share count (about 560,000) differs from the 2,513,147 shares in the company's filing, so market value figures from different sources do not match.

On the filing's share count, the market value at $0.2586 would be roughly $0.65 million. A majority-owned Subsidiary also listed separately on Nasdaq in June, and it reported first-half 2026 Revenue of $7.36 million, up 49%.

The next date to watch is November 6, when the reverse split takes effect and the share price is expected to be mechanically adjusted. Closing details for the KeepZone AI sale and any further warrant changes would be the other items to monitor.
