● A report described the potential deal as all-stock.

Marvell Technology (NASDAQ:MRVL) tumbled on Friday, October 30, 2026, closing sharply lower, according to market data. The chipmaker faced two pressures at once: a sweeping selloff in semiconductor stocks set off by Intel (NASDAQ:INTC), and reports that it is in talks to acquire Lumentum Holdings (NASDAQ:LITE).

The decline came as the Nasdaq Composite fell 747.73 points to 25,437.00, its worst day since June 5. Marvell designs data-infrastructure chips, including custom processors and networking silicon used in AI data centers, which left it exposed to the day's retreat from AI hardware.

The reported Lumentum deal

On Thursday, market reports said that Marvell was in advanced talks to acquire Lumentum, a maker of optical and photonic components such as lasers and transceivers that link servers inside AI data centers. A market newsletter described the potential deal as all-stock.

Analysts and commentators took a measured view. Market data said the deal "won't carry a big premium". One research firm put the chances of the deal being completed at less than even, according to market data. These remain unconfirmed deal reports, and no announcement from either company was included in the reports on the session.

Lumentum also closed sharply lower on Friday, as the AI-optical selloff and the deal reports weighed on its shares.

The chip rout

The broader semiconductor sector had a punishing day. Intel's fourth-quarter outlook fell well short of expectations, with Revenue guidance of $15 billion to $16 billion against consensus of about $17.1 billion to $17.3 billion, and the company warned of cash burn this year. Intel closed at $65.76 in what market reports described as the steepest one-day drop on record for the stock.

The Philadelphia Semiconductor index closed at 10,688.80 after a steep slide. Advanced Micro Devices (NASDAQ:AMD) closed at $504.80, and Nvidia (NASDAQ:NVDA) lost about $185 billion in market value, according to market data. Qualcomm (NASDAQ:QCOM), Broadcom (NASDAQ:AVGO), Micron (NASDAQ:MU), Applied Materials (NASDAQ:AMAT), Lam Research (NASDAQ:LRCX), Arm (NASDAQ:ARM) and ASML (NASDAQ:ASML) all fell, along with optical names such as Coherent (NYSE:COHR).

"The message from investors is becoming clearer: strong AI Demand is no longer enough on its own," said a senior market analyst.

Worries about AI spending

Amazon (NASDAQ:AMZN)'s third-quarter report added to the pressure, showing trailing 12-month free Cash Flow of negative $42.4 billion as spending on AI infrastructure swelled. Alphabet (NASDAQ:GOOGL) was still under pressure after its worst day ever on Thursday. Investors weighed whether the biggest buyers of AI chips and networking gear can sustain their spending.

"Together, Amazon, Google, Microsoft (NASDAQ:MSFT) and Meta (NASDAQ:META) spent more than $200bn in the third quarter alone," said a market analyst.

The S&P 500 fell 140.32 points to 7,580.07, and the Dow Jones Industrial Average lost 572.25 points to 51,770.31. Technology was the worst of the 11 S&P 500 sectors, while energy, consumer staples, health care and utilities rose. Other pressures included oil above $100, a reported $6.3 billion hack at crypto exchange Binance, and futures pricing a likely December rate hike.

What to watch

The status of the reported talks with Lumentum is the main item for Marvell. Investors will watch for any announcement, including terms, the structure of any deal and how it would be valued.

Chip-sector results next week will also matter. Super Micro Computer (NASDAQ:SMCI) reports on November 3 and Qualcomm on November 4. The midterm elections on Tuesday, November 3, and the October jobs report on Friday, November 6, round out a busy week for the semiconductor group.
