Reported Deal Raises Dilution Concerns

Marvell Technology, Inc. (NASDAQ:MRVL) shares fell in pre-market trading after a media report said the company is in advanced talks to acquire optical components maker Lumentum Holdings (NASDAQ:LITE), with an announcement possible as soon as next week. Neither company had confirmed the report in the references reviewed, and no terms have been published.

The scale is the concern. Lumentum is valued near $83 billion, against a Marvell market capitalisation of roughly $221 billion. A research firm estimated that a deal of that size could not be funded with cash alone, given that Marvell held about $3.92 billion, which points to share issuance or new debt. Marvell fell about 8% to 9% in after-hours trading, and Lumentum rose more than 10%.

Marvell is a fabless semiconductor company incorporated in 1995 and based in Wilmington, Delaware. It designs data infrastructure silicon spanning custom AI chips, Ethernet switches, optical and coherent digital signal processors, storage controllers and fibre channel adapters. Data centre products now generate roughly three-quarters of revenue, and the company has about 7,500 employees.

Valuation and Recent Momentum

Marvell closed Wednesday up 3.3% at $251.65. It has a trailing price-to-earnings ratio of about 83, earnings per share of $3.30, a dividend yield of 0.10% and a 52-week range of $70.69 to $329.88. The consensus price target sits near $327 to $346 after the company lifted its fiscal 2028 revenue outlook to about $20 billion earlier this month, and analyst views remain broadly positive.

Weak results from Alphabet (NASDAQ:GOOG), which raised doubts over AI spending, added to the pressure on semiconductor and technology stocks. Nasdaq-100 futures were down about 1%, and the sector fund was indicated about 1.1% lower.

What Investors Will Weigh Next

The central questions are whether the talks produce a signed agreement, how any deal would be financed and what it would add to Marvell's optical business. Until terms emerge, the share price reflects the uncertainty around size, funding and dilution.
