Liberty Global Ltd. (NASDAQ:LBTYA) released third-quarter 2026 results on November 3, 2026, and the report puts its Balance Sheet and portfolio restructuring in sharp focus. With about $21.8 billion of Debt and finance leases, a continuing buyback programme and a planned spin-off of its Ziggo Group, the company's Capital Structure may matter as much as operating trends. Investors may find the interplay between reported and rebased figures especially important this quarter.
Reported Gains, Rebased Declines
The company reported Q3 2026 revenue of $1.92 billion, up 59.1% on a reported basis but only 1.0% on a rebased basis, and net earnings of $547.7 million versus a loss of $83.4 million a year earlier. Adjusted EBITDA was $602.6 million, up 79.1% reported but down 13.7% rebased. Corporate cash was about $2.0 billion, with roughly $1.8 billion expected at year-end 2026.
Liberty completed $100 million of buybacks in the quarter and expects another $100 million in the fourth quarter. Total Liquidity was $3.75 billion. The gap between reported and rebased growth suggests consolidation changes, so comparisons need care. Ziggo Group revenue was $1.91 billion, and Virgin Media O2, a nonconsolidated joint venture, reported revenue of $3.26 billion, down 5.0%. Total principal debt of $21.8 billion sits alongside $2.05 billion of cash and $1.71 billion of unused borrowing capacity in the liquidity figure.
Ziggo Separation and Leverage
Debt carries a blended swapped cost of 4.3% and an average tenor of 4.7 years, according to the release. Ziggo Group, combining VodafoneZiggo and Telenet, is planned for spin-off in the second quarter of 2027, with initial confidential SEC and AFM submissions expected in December. The company said synergies may exceed its earlier EUR 1 billion net present value estimate, and a tower sale of EUR 669 million is being used for VodafoneZiggo deleveraging. VodafoneZiggo's covenant Leverage was 5.01x. Virgin Media O2 guidance calls for service revenue and Adjusted EBITDA each down 3% to 5% for 2026. Telenet covenant leverage was 3.22x and Virgin Media O2 covenant leverage was 4.19x, so leverage differs across the group. Virgin Media O2 also targets GBP 800 million of run-rate cost reductions by 2029.
December Filings and Cash Distributions
Investors may watch the December regulatory submissions for the Ziggo spin-off and any change to the second-quarter 2027 timeline. VodafoneZiggo guidance includes a mid-to-high single-digit Adjusted EBITDA decline and no distributions, so Cash Flow to the parent may remain limited from that source. Virgin Media O2 cash distributions of about GBP 200 million are under review, with an update expected in the first quarter of 2027, along with the outcome of the Netomnia transaction.
The pace of non-core disposals, targeted at EUR 1.2 billion to EUR 1.4 billion, and the size of future buybacks could also influence sentiment. Competition and pricing in European broadband remain relevant to rebased growth trends. Investors may also watch Wyre and Virgin Media Ireland, where Adjusted EBITDA fell 13.6% and 31.8% respectively on a reported basis, for signs of stabilisation.
Restructuring Before Returns
Liberty Global's third quarter shows a company in transition, with a large reported earnings swing, declining rebased EBITDA, meaningful leverage and several corporate actions still ahead. Whether disposals, the planned spin-off and buybacks improve Shareholder outcomes could depend on execution and market conditions that no one can foresee.
