Boqii Holding Limited (NYSE American:BQ) has given its board the power to carry out a further share consolidation, on top of one completed in 2025. Shareholders approved the measure at the Annual General Meeting on May 6, 2026. The filing trail since then shows how the pet retailer is funding itself while sales shrink.
Business and results
Boqii runs a pet-focused online Business in China, selling through Boqii Mall, flagship stores on platforms such as Tmall, JD.com and Pinduoduo, private-label ranges, software for offline pet stores and pet healthcare. Its Annual Report on Form 20-F for the year ended March 31, 2026, filed on July 13, 2026, reports about 4.4 million active buyers. Net revenues were RMB420.5 million (about $61.0 million), down from RMB468.9 million a year earlier. In the 20-F, consolidated cash and cash equivalents were RMB49.4 million at March 31, 2026, and positive Working Capital was about RMB134.1 million ($19.4 million), though the company warns there is no assurance it can meet future needs.
Share structure and funding
The Capital Structure has changed repeatedly. A 160-for-1 share consolidation was approved on June 26, 2025, and the American depositary share program ended on July 11, 2025, so the Class A shares now trade directly. At the April 20, 2026 Record Date there were 4,879,614 shares in issue: 4,298,128 Class A, 81,486 Class B and 500,000 Class C. The AGM approved cutting Par Value from $0.16 to $0.0000001 per share, a recapitalization, amended articles, and a consolidation of each 200 shares (or fewer, down to two) into one, at the board's discretion within two years. No timing has been announced.
Funding has come in small installments. A $4.2 million registered direct offering of 1.5 million Class A shares closed in early November 2025. On May 11, 2026 the company signed a securities purchase agreement for up to 3,000,000 units at $0.6667, for gross proceeds of up to about $2.0 million, each unit comprising a Class A share and a pre-funded Warrant exercisable for 2.33 further shares at $0.0001. Up to 6,990,000 shares are reserved for those warrants, which could add materially to the shares in issue if exercised.
Trading and listing
Boqii issued statements on June 15 and August 13, 2026 saying it was aware of unusual trading activity in its shares and describing them as no-news announcements under the NYSE American Company Guide.
The company's own 6-K filings refer to NYSE American LLC. None of the filings mentions an exchange deficiency notice.
Consolidation Decision, Warrant Exercises and Half-Year Results
Watch for a board decision on the 200-for-1 consolidation and any related announcement. The next half-year results will show whether revenue decline continues and margins hold. Filings should show how many pre-funded warrants are exercised. The risks are falling sales, dilution, a small Market Value and regulatory oversight of China-based issuers.
