Essex Property Trust (NYSE:ESS), a real estate Investment trust that owns and operates apartment communities across West Coast markets, has locked in a new $275 million unsecured term loan to pay off borrowings under its commercial paper program. The company disclosed the financing in an 8-K covering the September 24, 2026 agreement, which was entered into by both Essex Property Trust, Inc. and its operating partnership, Essex Portfolio, L.P.
The Terms of the Loan
The term loan carries an initial Interest Rate of SOFR plus 0.800%, with the spread tied to a tiered structure keyed to Essex's long-term unsecured Credit ratings, so the rate can move up or down as those ratings change. The loan matures September 24, 2029, three years from signing, but Essex's operating Partnership has the option to extend that Maturity twice, in one-year increments, pushing the final due date out as far as September 2031 if both Options are exercised.
Bank of America, N.A. is serving as administrative agent on the facility. Essex disclosed that the loan agreement includes an accordion feature that would let the company request as much as $225 million in additional commitments from lenders willing to provide them, which would bring total capacity under the Facility to $500 million. Any increase under the accordion is voluntary on the part of participating lenders and is not guaranteed.
Why Commercial Paper Gets Refinanced This Way
Essex said in the filing that it expects to use the new term loan proceeds "to repay the outstanding indebtedness under the Company's commercial paper program and for other general corporate purposes." Commercial paper programs let large, well-rated companies borrow short-term, unsecured money directly from investors, typically at low rates, but that Debt must be rolled over frequently and its cost and availability can shift with market conditions. Swapping short-term commercial paper for a term loan that runs into 2029, with extension options into 2031, gives Essex a longer, more predictable repayment horizon and reduces its reliance on continuously refinancing paper in the open market.
This kind of transaction is common among REITs that issue commercial paper, since it converts a revolving short-term Liability into a scheduled, fixed-maturity obligation. It does not, by itself, signal anything about operating performance; it is a Balance Sheet and Liquidity step.
Covenants and Obligations
As is standard for unsecured corporate term loans, Essex disclosed that the agreement subjects the company and its operating partnership to customary covenants, including requirements to maintain certain leverage and coverage ratios. The 8-K did not spell out the numerical thresholds for those ratios or disclose fees on the facility. The filing was made under Item 1.01, entry into a material definitive agreement, and Item 2.03, creation of a direct financial obligation.
What the Filing Does Not Say
The 8-K does not identify the syndicate of lenders beyond naming Bank of America, N.A. as administrative agent, nor does it disclose the current balance outstanding under the commercial paper program being refinanced. It also does not provide Essex's total debt levels, weighted average cost of debt, or any forward-looking guidance on Earnings or dividends. Essex Property Trust operates as a REIT focused on apartment communities, primarily in Southern California, Northern California, and the Seattle metropolitan area, a Business model built around collecting rental income from multifamily properties and funding acquisitions and development partly through debt like this new term loan.
The filing was signed by Barbara Pak, Executive Vice President and Chief Financial Officer of Essex Property Trust, on behalf of both the REIT and its operating partnership.
Tracking the Facility's Extension and Accordion Options
Essex's extension options on the loan run through September 2031 if both one-year extensions are exercised, and the accordion feature allowing up to $225 million in additional lender commitments remains available but unexercised as of the filing. Investors watching Essex's debt maturity schedule and its progress paying down the commercial paper program it is refinancing should look to the company's subsequent quarterly filings for updated debt disclosures.
