EnerSys (NYSE:ENS) shares are indicated up 2.77% at $179.00 in premarket after the stored energy company agreed to acquire Ultralife (NASDAQ:ULBI) for $16.00 per share in cash. The deal represents a 166% premium to Ultralife's unaffected October 26 close and an enterprise value of about $320 million, and EnerSys will fund it with cash on hand. Shares closed Tuesday at $174.17, up 2.83%, and slipped about 0.7% after hours.
EnerSys, headquartered in Reading, Pennsylvania, is a global leader in stored energy solutions for industrial, infrastructure and defense customers. It makes batteries, chargers, power electronics and enclosures under brands such as Alpha, NexSys, ODYSSEY and Bren-Tronics, serves customers in more than 100 countries and reported roughly $3.75 billion of revenue in fiscal 2026. It is led by President and CEO Shawn O'Connell.
Building a Broader Defense Power Platform
The acquisition adds Ultralife's rechargeable and non-rechargeable batteries, battery systems and accessories for military communications and other specialized uses. Ultralife generated $191 million of revenue in fiscal 2025 and operates in the U.S., Canada, the U.K. and China.
EnerSys said the deal expands its exposure to munitions, soldier power, drones, counter-drone and autonomous systems, increases capacity for specialized batteries that comply with Foreign Entity of Concern rules, and adds purpose-built manufacturing capacity with existing security and environmental permits. "Ultralife expands our portfolio of advanced, reliable, high-performance power solutions," O'Connell said.
Financial Benefits and Timing
EnerSys expects $15 million to $20 million of annual run-rate cost synergies within the first 18 months and accretion to adjusted diluted EPS within about 18 months after closing, excluding transaction and integration costs and other non-recurring items. It will launch a tender offer, and closing is expected in the first quarter of calendar 2027, subject to a majority tender and regulatory approvals.
Chief Technology Officer Mark Matthews said Ultralife's very high energy density, long shelf life, low self-discharge, useful pulse power and cold-weather performance suit growing defense mission profiles.
Earnings Next Month and Analyst View
Beginning in fiscal 2027, EnerSys will report three segments: Network and Infrastructure Solutions, Industrial Mobility Solutions and Precision Power Solutions. Investors look ahead to earnings on November 11. The average analyst price target of roughly $264 sits well above the current price, and the 52-week range runs from $120.27 to $244.30.
