No Fresh Announcement Behind the 19.36% Slide in INVO Fertility Shares
INVO Fertility (NASDAQ:IVF) shares are trading down 19.36% today at $1.73. No company-specific announcement was identified for the decline, and the most recent updates found were investor conference appearances in late summer and the second-quarter results released in August. The stock has been volatile since a reverse split earlier this year.
INVO Fertility acquires, builds and operates fertility clinics in the United States, and also sells its INVOcell device, used in an intravaginal culture procedure, to outside clinics. It runs four operating clinics, after buying the remaining interests in its Birmingham, Alabama site in June.
Second-Quarter Revenue Up 17% as Family Beginnings Acquisition Lifts Clinic Sales
Revenue for the quarter ended June 30 was $2,175,485, up from $1,863,654 a year earlier. Clinic revenue climbed 18% to $2,167,785, mainly because of the February acquisition of Family Beginnings.
Net income was $888,740, compared with a net loss of $3,618,969 a year earlier, but the result included a remeasurement gain of about $2.5 million linked to the Birmingham deal. The loss from operations narrowed to $1,289,650 from $2,990,088.
Adjusted EBITDA was a loss of $1,032,660, versus a loss of $587,229 in the prior-year period. Clinic-level adjusted EBITDA, measured before corporate expenses, was about $333,000, compared with roughly $164,000 in the first quarter.
First-quarter revenue had grown 23%, reported in June, so the second-quarter pace of 17% points to a slightly slower rate of expansion even as acquisitions add clinics. The fiscal 2025 results were released on June 2, after a Nasdaq notice over a late Annual Report filing.
Thin Cash Cushion and a Share Count of 2.5 Million Frame the Valuation
Cash was about $3.7 million at the end of June. Full-year 2025 revenue was $6.84 million, up 4.73%, while market data shows a 2025 net loss of $25.13 million. Trailing twelve-month revenue is listed at $7.53 million.
A 1-for-5 Reverse Stock Split took effect on March 27, and the company reported 2,506,969 shares outstanding as of August 14. On that count, today's price implies a Market Value near $4.3 million. A registration statement for a securities offering was filed on July 24, and shares rose roughly 145% in a single session after the second-quarter report, so the 52-week range of $0.51 to $26.58 reflects unusually wide swings.
Clinic Profitability and Funding Needs Are the Next Items to Watch
Today's drop leaves IVF trading far above its 52-week low but well below its high, with no disclosed trigger. The next Quarterly Report should show whether clinic-level Earnings keep rising and how the company funds growth after the Family Beginnings and Birmingham transactions. The release gave no formal financial guidance. The company also announced five poster presentations on platelet-rich plasma research at a reproductive symposium in August, a scientific update with no stated earnings impact.
