Bioventus (NASDAQ:BVS) shares are trading down 16.84% at $10.94 today after third-quarter results showed a revenue miss and a cut to 2026 net sales guidance. The stock is on Volume of more than three times average after Gapping down from $13.15, and it sits within a 52-week range of $6.47 to $15.89, while the broader market was mixed ahead of the midterm elections and the healthcare sector was little changed.

Bioventus is a Durham, North Carolina-based global medical device company that develops and commercializes minimally invasive active healing treatments for musculoskeletal conditions. It operates through Pain Treatments, including Durolane, Gelsyn-3 and Supartz FX plus peripheral nerve stimulation, Surgical Solutions, which includes bone graft substitutes and ultrasonic surgical systems, and Restorative Therapies, the Exogen ultrasound bone healing system.

Bone Graft Substitutes and Sales Force Vacancies Drive the Miss

Third-quarter revenue was $142.4 million, up 3%, against estimates of about $149.5 million. Pain Treatments rose 6% to $71 million and international revenue rose 16%, or 18% in constant currency, but surgical solutions grew 1% and restorative therapies fell 3% to $21 million, hurt by sales force vacancies that have since been filled.

Management blamed weak bone graft substitute performance on competitive dynamics in synthetics, softer spine procedure volume and delays in adding distributors, and called the issues transitory, with October tracking ahead after actions taken late in the quarter. Excluding bone graft substitutes, revenue grew 6%.

Guidance Lowered on Sales but Earnings Outlook Reaffirmed

Full-year net sales guidance was cut by about $12 million at the midpoint to $590 million to $595 million from $600 million to $610 million, and management expects mid-single-digit revenue growth in the fourth quarter. Adjusted EPS of $0.17 matched estimates, and the full-year adjusted EPS outlook of $0.75 to $0.79 and adjusted EBITDA Margin were reaffirmed.

Adjusted EBITDA was $28 million, a 20% margin, up 70 basis points. Operating Cash Flow was $21 million, $19 million of the term Loan was repaid, and net Debt is below $200 million, with net Leverage expected below 1.5x by year-end. Canaccord trimmed its target to $18 from $19.

Strategic Review Prompted by an Unsolicited Bid Is Unresolved

The strategic alternatives review, which followed an unsolicited Acquisition proposal, is ongoing with no details provided. Growth investments rose to nearly $15 million from a planned $13 million, with more than half going to peripheral nerve stimulation, which management expects to scale to over $100 million in the coming years.

Strategic Review Remains the Wildcard

With sales guidance lowered and the review of strategic alternatives unresolved, investors will weigh the earnings reaffirmation against the pressure on bone graft substitutes. Any update on the unsolicited proposal could change how the shares are valued.
