Annovis (NYSE:ANVS) shares are trading down 5.31% at $1.07, against a previous close of $1.13, after the company said it received a continued listing standard notice from the NYSE. The stock trades below $5, which makes it a penny stock, and Volume is about 2.74 million shares.
Annovis, based in Malvern, Pennsylvania, is a late-stage clinical biopharmaceutical company developing therapies for neurodegenerative diseases, including Alzheimer's and Parkinson's. Its lead candidate, buntanetap, is an oral small molecule that inhibits the synthesis of several neurotoxic proteins, and it is in Phase 3 development for Alzheimer's disease and open-label Phase 3 for Parkinson's disease. The pipeline also includes ANVS405 for traumatic brain injury and stroke.
Why the NYSE Sent the Notice
On Oct. 29, the company received notice that it is no longer in compliance with NYSE continued listing standards under Section 802.01B of the Listed Company Manual. The standard is breached when a company's average market capitalization over a consecutive 30 trading-day period is below $50 million while its stockholders' Equity is also below $50 million.
As of Oct. 28, the 30 trading-day average market capitalization of Annovis was about $48.4 million, and its last reported stockholders' deficit, as of June 30, 2026, was about $4.3 million.
The Cure Process
The notice does not affect Annovis' Business operations or its reporting obligations to the SEC, and it does not cause an event of default under any of its material Debt or other agreements. The company told the NYSE it will submit a plan within 45 days of the notice that sets out the action it has taken or is taking to bring it back into conformity within nine months of receipt.
The NYSE will review the plan and, within 45 days, decide whether the company has made a reasonable demonstration of its ability to comply within the nine months. If the plan is not submitted on time or is not accepted, the exchange will start delisting proceedings. If it is accepted, the stock continues to trade on the NYSE during the cure period, and the exchange reviews the company on a semi-annual basis. If the company fails to follow the plan or does not meet the standards at the end of the period, suspension and delisting procedures follow promptly.
Stock Context and What to Watch
Annovis has a 52-week range of $0.93 to $5.50, so the shares trade near the low end and far below the high. Trailing Earnings Per Share are negative $1.71, and the company has seven full-time employees.
The notice is a compliance matter and not a clinical setback, but it adds pressure on a company that relies on Capital Markets to fund Phase 3 development. The next steps to watch are the plan due within 45 days, the NYSE's response, any financing that improves stockholders' equity and clinical updates for buntanetap. A rise in the company's Market Value or equity position would help it return to compliance.
