Executive and Board Succession

On September 30, 2026 the board approved the appointment of Warren Stone, age 54, as Chief Executive Officer and a board member effective January 4, 2027. Mr. Stone joined the company in November 2022 as President, Clinical Services. He became Chief Commercial Officer in April 2024 and President and Chief Operating Officer in April 2025. Tony Zook will remain Chief Executive Officer through January 3, 2027 and become Executive Chairman effective January 4, 2027.

Under an Amended and Restated Employment Agreement effective January 4, 2027, Mr. Stone will receive a base salary of $850,000 per year and a target annual incentive bonus of 100% of base salary. He will be eligible for annual equity awards beginning in fiscal 2027 with an aggregate target value of approximately $8,000,000, granted at the discretion of the compensation committee. Mr. Zook's agreement provides a base salary of $400,000 per year, a target bonus of 50% of annual salary and annual restricted stock unit awards with an aggregate target value of approximately $3,000,000.

Both agreements provide severance if employment ends without cause or for good reason: one times base salary and one times target bonus, plus COBRA premium reimbursement for twelve months and some accelerated equity vesting. Around a change in control, severance is two times base salary. Severance depends on a signed release.

Board Changes

Lynn Tetrault, board chair since joining the board in 2015, will step down as chair effective January 4, 2027. She will continue as an independent director until the 2027 Annual Meeting of Stockholders and does not intend to stand for reelection. The board also amended the bylaws on September 30, 2026 to raise the maximum board size from ten to eleven directors.

The company listed risks tied to the transition, including its ability to complete the changes on the anticipated timeline without disruption and to retain key executives.
