The clinical-stage company filed its 10-Q for the quarter ended June 30, 2026 on August 11, entered a term loan agreement and a fourth amendment to its Tanabe license on June 2, and holds a PDUFA target date of December 22, 2026 for lorundrostat.

Mineralys is incorporated in Delaware and lists its principal executive offices at 150 N. Radnor Chester Road in Radnor, Pennsylvania. The company develops lorundrostat, an aldosterone synthase inhibitor studied for uncontrolled and resistant hypertension and chronic kidney disease. It began operations in May 2019, operates in one segment, and has not generated revenue from product sales. It is an emerging growth company and a smaller reporting company. Its fiscal year ends December 31.

Second Quarter Results

For the three months ended June 30, 2026, Mineralys reported a net loss of $241.1 million, or $2.85 per share, compared with a net loss of $43.3 million, or $0.66 per share, in the second quarter of 2025. Weighted-average shares were 84,727,282. For the six months, the net loss was $280.4 million, or $3.35 per share.

Research and development expenses were $221.4 million, an increase of $183.1 million. The company said the increase was primarily the $200.0 million upfront payment to Tanabe in June 2026, along with $0.6 million of higher personnel expenses, partly offset by $17.8 million of lower preclinical and clinical costs. General and administrative expenses were $24.7 million, compared with $8.5 million, reflecting higher professional fees and personnel costs. The company stated it has not generated revenue from product sales.

Tanabe Amendment, Financing and Cash

On June 2, 2026, Mineralys and Tanabe entered a fourth amendment that ended the obligation to pay royalties on net sales of lorundrostat products. The company paid $200.0 million upfront and agreed to commercial milestone payments of up to $100.0 million. Remaining commercial milestone payments, including those, total up to $255.0 million. The new milestones become immediately due on certain change-of-control transactions.

Also on June 2, the company entered a senior secured term loan agreement of up to $500.0 million and drew a $100.0 million Tranche A loan. A $150.0 million Tranche B loan is tied to FDA approval of the lorundrostat application. The loans bear interest at the three-month secured overnight financing rate, subject to a 3.25% floor, plus 5.50%, and are secured by the company's assets, subject to exceptions. During the six months, it sold 5,660,378 shares at $26.50 per share for net proceeds of approximately $143.6 million, and sold 568,320 shares under its at-the-market agreement for approximately $20.2 million.

At June 30, 2026, cash, cash equivalents and investments were $661.4 million, compared with $656.6 million at the end of 2025. Net cash used in operating activities was $72.0 million for the six months. The company stated it believes this balance will fund planned operations, including the commercial launch of lorundrostat, for at least twelve months.

Clinical and Regulatory Status

Mineralys submitted its new drug application to the FDA in December 2025 for lorundrostat in combination with other antihypertensive drugs, and the FDA set a PDUFA target date of December 22, 2026. On March 9, 2026, the company announced topline data from the Phase 2 Explore-OSA trial. After four weeks, lorundrostat 50 mg did not demonstrate a difference relative to placebo on the primary endpoint, the apnea-hypopnea index, according to the company. The Transform-HTN open-label extension trial is ongoing.

On the August call, management said the target prescriber audience is approximately 50,000 providers. The 10-Q states that the company expects to continue incurring operating losses for the foreseeable future. Management's outlook is subject to regulatory outcomes and other risks.
