Key Highlights

  • Range Resources (NYSE:RRC) traded at USD 51.98, up 14.19%, on October 26, 2026, with a USD 12.15 billion market value, P/E of 14.34, trailing EPS of USD 3.62 and a 0.86% yield, against a USD 45.52 prior close.

  • The companies expect USD 325 million of base annual synergies within two years, more than 9 billion cubic feet equivalent per day of production and a closing in the first quarter of 2027.
  • Second quarter production of Range Resources (NYSE:RRC) was about 2.30 billion cubic feet equivalent per day, about 67% natural gas, with adjusted earnings of USD 0.79 per share.

The EQT Terms

EQT Corporation (NYSE:EQT) announced the all-stock purchase on October 26, 2026. At EQT's October 23 close of USD 55.63, 0.987 shares is worth about USD 54.91, roughly 20.6% above Range's USD 45.52 close, simple arithmetic on two published prices, because the companies did not disclose a premium. Range holders would own about 27% of the group, two Range directors including CEO Dennis Degner would join the EQT board, and headquarters stay in Canonsburg. The combined business would hold nearly 3 million net acres with more than 30 years of inventory. EQT shares fell 6.69% in premarket trading, so the value of the offer moves with EQT.

Gas, Liquids and the Oil Link

Range produced about 2.30 billion cubic feet equivalent per day in the second quarter, with liquids above 30% of 2026 guidance. Realized price was USD 3.53 per thousand cubic feet equivalent after hedges, a USD 0.64 premium to the NYMEX gas price. Its natural gas liquids sell at a premium to Mont Belvieu, and oil and condensate sells at a discount to WTI, so crude near USD 102 supports roughly a third of its output. The companies cite about USD 20 billion of free cash flow over five years at recent strip prices, and an unlevered breakeven below USD 2 per million British thermal units.

Risks and What to Watch

The deal needs regulatory clearance and approval from both sets of shareholders, so completion is not assured. Because it is all stock, Range holders carry EQT price risk until closing. Net debt was about USD 881 million at June 30, small against a USD 12 billion market value. Before the deal, the consensus target near USD 46 sat below the price, and Mizuho held a USD 52 target. A published calendar showed Range results on October 27, though the company released materials with the deal announcement. The projected USD 20 billion of five-year free cash flow is a company estimate that depends on gas prices holding near the strip, so it should be read as a target, not a forecast we can confirm.

Where Things Stand

Range jumped because EQT offered a roughly 20.6% premium to Thursday's close in stock, which answers the headline. Range Resources (NYSE:RRC) now trades on the terms of that exchange ratio, so oil and gas prices matter through EQT's price. The balance of evidence favors a rewarded Range holder base but with approval and EQT price risk. The next catalysts are the expected October 27 results and shareholder votes ahead of a first quarter 2027 close.
