Range Resources (NYSE:RRC): The EQT All-Stock Takeover
Range Resources (NYSE:RRC) rose 14.19% to USD 51.98 on October 26, 2026 from a USD 45.52 close, with a USD 12.15 billion market value. EQT Corporation (NYSE:EQT) will give 0.987 shares for each Range share, leaving EQT holders with about 73% and Range holders 27% of a group worth more than USD 50 billion including debt. At EQT's USD 55.63 close the offer was about 20.6% above Range's close, simple arithmetic, because no premium was disclosed. The companies target USD 325 million of annual synergies within two years and more than 9 billion cubic feet equivalent per day of production. Closing is expected in the first quarter of 2027 and needs regulatory and shareholder approvals. Second quarter production was about 2.30 billion cubic feet equivalent per day, about 67% gas, with net debt near USD 881 million and a 2026 capital budget of USD 650 million to USD 700 million. Because it is all stock, Range Resources (NYSE:RRC) holders carry EQT price risk, and EQT fell 6.69% in premarket trading.
Ovintiv (NYSE:OVV): Logan Energy and Montney Oil
Ovintiv (NYSE:OVV) agreed to buy Logan Energy at CAD 1.40 per share in cash, about USD 890 million including assumed net debt, adding about 20,000 barrels of oil equivalent per day and 266,000 net Montney acres. The company expects about USD 60 million of annual synergies and a 5% lift to 2027 cash flow per share, both projections. Funding comes from cash, the credit facility and commercial paper, and net debt is expected below USD 4 billion after closing, up from USD 2.995 billion at June 30. The shares rose 0.61% to USD 72.71 on October 26. Second quarter free cash flow was USD 682 million, with buybacks of about USD 345 million, and Roth Capital raised its target to USD 65 from USD 55 with a Neutral rating on October 23. Closing is expected early in 2027 and needs Logan shareholder, court and regulatory approvals. Ovintiv (NYSE:OVV) reports on November 3 with a call on November 4, and its returns target stays above 60% of free cash flow.
Magnolia Oil & Gas (NYSE:MGY): WildFire and Giddings Scale
Magnolia Oil & Gas (NYSE:MGY) announced the WildFire Energy acquisition on July 20, 2026, at about USD 4.06 billion according to a price page, a deal expected to more than double its Giddings acreage. It raised about USD 1.23 billion through 53.3 million new shares and USD 500 million of 6.625% notes due 2034. Second quarter production was 106.1 thousand barrels of oil equivalent per day, with free cash flow of USD 234.6 million, and full year production growth was raised to 6% from 5%. Equity issuance diluted holders, and the debt adds interest cost. Second quarter oil was 41.9 thousand barrels per day, about 39% of volume, simple arithmetic on two company figures, which gives it oil leverage at crude near USD 102. The shares traded at USD 26.22 on October 26, up 0.27%, with a market value shown as USD 7.03 billion on the board, which differs from another page. Magnolia Oil & Gas (NYSE:MGY) reports on November 4, when the first combined quarter should show synergies.
National Fuel Gas (NYSE:NFG): A Tax-Free Spin-Off
National Fuel Gas (NYSE:NFG) announced on October 14, 2026 a plan to spin off its Integrated Upstream and Gathering business pro rata, with at least 80.1% distributed and up to 19.9% retained for sale. The upstream company would have about 1.1 billion cubic feet per day of net gas production and about 5 trillion cubic feet of proved reserves, while the utility keeps nearly USD 5 billion of rate base. The plan follows the October 1 completion of the USD 2.62 billion Ohio utility purchase from CenterPoint Energy. Timing is the second half of 2027 and depends on an SEC Form 10, financing and board approval. The shares traded at USD 80.81 on October 26. Fiscal 2026 adjusted earnings guidance is USD 7.40 to USD 7.60 per share, the consensus rating is Buy with a USD 93 target from four analysts, and the regular dividend is USD 0.555 per quarter. National Fuel Gas (NYSE:NFG) reports on November 4 with fiscal 2027 guidance, and the plan could change.
Kinetik Holdings (NYSE:KNTK): Reported Sale Exploration
Kinetik Holdings (NYSE:KNTK) was reported on September 10, 2026 to be in early stages of exploring a sale, according to a media report citing three sources, and the company has not confirmed it. The shares traded at USD 55.74 on October 26 after a 3.47% gain on October 23, with a market value of USD 9.05 billion. Second quarter adjusted EBITDA was a record USD 280.8 million, 2026 guidance was raised to USD 1.04 billion to USD 1.1 billion, and net debt was USD 3.94 billion, or 3.85 times leverage. The yield is 5.76%. Coverage of the USD 0.81 quarterly dividend was 1.47 times in the second quarter, and Jefferies cut its target to USD 54 while BofA raised to USD 62 with a Buy rating. A sale may never happen, and a bidder would need to weigh Waha gas pricing and debt. Kinetik Holdings (NYSE:KNTK) reports on November 4, and analyst targets range from USD 54 to USD 62.
