Range Resources Earnings: Did the EQT Deal Overshadow the Quarter?

Range Resources (NYSE:RRC) filed third-quarter results showing GAAP net income of $175.3 million, or $0.75 per diluted share, with total revenues and other income of $842.8 million. The figures arrived one day after the company agreed to be acquired by EQT (NYSE:EQT) in an all-stock transaction, and the merger, rather than the quarter, now frames the story.

As screened, Range posted earnings of $0.81 per share against an estimate of $0.75, a surprise of 8.26%. The filing reports the $0.75 GAAP figure, so the two are on different bases.

The deal was announced on Monday, October 26, and both companies cancelled their scheduled October 28 earnings calls.

Range Resources Quarter: What Do Revenue, Cash Flow and Debt Show?

Natural gas sales were $371.8 million, NGL sales were $321.0 million and oil sales were $45.2 million, together $737.9 million.

Net cash from operating activities was $1,161.8 million for the nine months ended September 30. Additions to oil and gas properties over the same period were $506.4 million.

Range declared a dividend of $0.10 per share for the quarter and paid $23.6 million. The quarterly equity statement shows no share repurchases in the period, compared with about $78 million of buybacks at roughly $39.18 per share in the second quarter.

The balance sheet was nearly all long-term funding. Bank borrowings were $294.0 million against a $2.0 billion commitment, at a weighted average rate of 5.5%, and senior notes were $500.0 million.

EQT Deal: What Are the Terms and the Synergy Case?

Each Range share converts into 0.987 EQT shares, with no cash component. Existing EQT holders would own about 73% of the combined company and Range holders about 27%, and the pro forma enterprise value is above $50 billion.

The companies target $325 million of base annual synergies within two years across corporate costs, operations and commodities marketing, with a pathway to more than $600 million over time. The combined company would produce more than 9 Bcfe a day from nearly 3 million net acres, with more than 30 years of inventory.

The release projects cumulative free cash flow of about $20 billion over five years at recent strip pricing. It expects BBB-quality credit metrics at closing.

The merger agreement sets a termination fee of $423 million payable by Range in certain circumstances and $1,148 million payable by EQT in others. EQT's management team would run the company from Canonsburg, Pennsylvania, and two Range representatives, including its chief executive, would join a 12-member board.

Range Resources Next Steps: What Should Investors Watch?

Closing is expected in the first quarter of 2027, subject to HSR clearance, a registration statement on Form S-4, and approval by shareholders of both companies. Range's last stated plan, from July, called for 2026 capital of $650 million to $700 million and production of 2.35 to 2.40 Bcfe a day and its pace before closing will show how it operates in the interim.
