Balance Sheet and Buyout: How Much Debt Sits Behind the Deal?
Cash and equivalents were $864 million at September 30, against $887 million at year-end 2025. Total debt was $11,659 million, down from $11,905 million, leaving net debt at $10,795 million. Fertitta Entertainment agreed on May 28 to acquire Caesars for $31.00 in cash per share, a 49% premium to the unaffected price of February 25, in a transaction valued at about $17.6 billion including about $11.9 billion of debt. The deal requires shareholder and regulatory approvals, and Caesars would be delisted from Nasdaq on completion.
What to Watch Next: Can Las Vegas Margins Stabilize Before Closing?
The next markers are the shareholder vote and regulatory approvals, neither of which has a date in the release. Investors will also track whether Las Vegas margins stabilize near 37% and whether Digital sustains its improvement, as interest costs of roughly $570 million a quarter keep net results negative.
