TCGX Acquisition II (NASDAQ:TCXB) shares were trading near their 52-week high at USD 10.50 on October 19, 2026, down 3.31%. The Cayman Islands blank check company reports no operating revenues, so its filings hold terms rather than results. The final prospectus, dated October 15 and filed October 16, describes a $100 million share-only offering, a sponsor affiliated with a healthcare investment firm and a target search that leans toward China.
A share-only offering with the full $100 million in trust
The prospectus covers 10,000,000 Class A ordinary shares at $10.00 each, for $100,000,000. There are no units, and the document states that investors will not receive warrants. The underwriters expected delivery on or about October 19, and the prospectus names The Nasdaq Capital Market as the intended venue for the shares.
All $100,000,000, or $10.00 per public share, is to be deposited in a US trust account with Odyssey Transfer and Trust Company as trustee. That sum includes $3,000,000 of deferred underwriting commissions, which the underwriters have agreed to waive if no business combination is completed in time, so $97,000,000 is initially available for a deal.
The sponsor's stake and a planned $20 million commitment
TCGX Sponsor II, LLC, a Delaware company managed by Chen Yu, M.D., M.B.A., paid $25,000 for 2,500,000 Class B founder shares, about $0.01 each. It also agreed to buy 450,000 Class A private placement shares at $10.00, or $4,500,000. The prospectus says the sponsor will hold 2,860,000 ordinary shares afterward, about 22.1% of 12,950,000 outstanding, and warns that public shareholders will face immediate and material dilution.
The sponsor is an affiliate of TCGX, which the prospectus describes as a science-driven healthcare investment firm founded in 2021. Under a forward purchase agreement the company plans to enter, TCG Crossover Fund III, LP, would buy at least 2,000,000 Class A shares at $10.00, or $20,000,000, in a purchase closing alongside a business combination. Fund III's investment committee would need to approve the commitment before a definitive deal is signed.
Healthcare first, China in view, and a sister company in the same search
The company has not selected a target. It expects to concentrate on healthcare, with an emphasis on life sciences and medical technology, though it is not limited to one sector. The company calls China a target-rich environment and a primary focus of its business development efforts, and it may pursue a target in Asia, including Hong Kong and/or the PRC. The risk disclosures cover China's economic, political and social conditions and government policies.
The prospectus also discloses a conflict. TCGX Acquisition Corp., a separate healthcare blank check company, completed an $86.25 million IPO in August 2026 and is actively seeking a target. Two directors and executive officers of this company also serve there. Where an opportunity fits both, the prospectus says it expects to weigh which company went public first, among other factors.
The 24-month window and what remains ahead
The company has 24 months from the offering's closing to complete a business combination. Shareholders can approve a later date by amending the articles, and public holders would then be offered redemption. If no deal closes in the window, public shares are redeemed at the per-share trust amount, net of taxes, and up to $100,000 of trust interest can cover dissolution costs. If the company holds a shareholder vote, a holder acting alone or as a group cannot redeem more than 15% of the public shares sold without the company's consent.
The company is an emerging growth company and a smaller reporting company. The planned Fund III agreement, the search for a target and any extension of the deadline remain prospective. The prospectus names no target and gives no expected date for a deal.
