Peace Acquisition (NASDAQ:PECE) shares were trading near their 52-week high at USD 10.02 on October 19, 2026, up 0.10%. The company is a blank check vehicle with no operating business, so its filings describe structure rather than sales or earnings. It raised $60 million in a May initial public offering and says it has not yet selected a target.

How the $60 million offering was assembled

Peace Acquisition, incorporated in the Cayman Islands on June 24, 2025, announced the pricing of its initial public offering on May 21, 2026. It sold 6,000,000 units at $10.00 each, and the units began trading on the Nasdaq Capital Market the next day. The offering closed on May 26, 2026. Each unit bundles one ordinary share, one right to receive one-fifth of an ordinary share when a business combination is completed, and one redeemable warrant to buy an ordinary share at $11.50. The warrants become exercisable at the later of 12 months after the closing and 30 days after a business combination, and they expire five years after that combination.

EarlyBirdCapital was the sole underwriter, with an underwriting fee of $1,200,000. The company also sold 262,500 private placement units for $2,625,000, including 202,500 to its sponsors, Baystar Holding Group Limited and Casper Holding LP. The underwriter's option for up to 900,000 more units was not exercised. It was terminated on June 10, 2026, and 300,000 founder shares were forfeited.

The trust account, the quarter and the 15-month clock

At closing, $60,300,000, or $10.05 per unit sold, went into the trust account. By June 30, 2026 the trust held $60,504,613, including $204,613 of trust interest income earned in the second quarter, and the balance sheet carries the public shares at $10.08 per share. Cash outside the trust was $378,025. For the three months ended June 30, net income was $86,706, as trust interest outweighed $118,157 of formation and operating costs. The report's cover page shows 8,437,500 ordinary shares outstanding on August 14, 2026.

The company has until 15 months from the May 26, 2026 closing to complete a business combination, which works out to August 26, 2027. No automatic extension is described, although a shareholder vote could amend the charter to change the period. Public shareholders hold redemption rights in connection with a business combination. If no deal is completed in time, public shares are to be redeemed at the trust amount, less up to $100,000 of interest for dissolution expenses.

Going-concern doubt and a control weakness

The quarterly report carries two cautions. Management concluded that conditions raise substantial doubt about the company's ability to continue as a going concern within one year, pointing to its cash position and to the 15-month period for completing a business combination. It also concluded that disclosure controls and procedures were not effective, attributing this to a material weakness: the lack of a qualified SEC reporting professional. Management states that the financial statements are fairly presented in all material respects. It does not expect to need additional funds following the offering, though more financing may be needed to complete a combination.

Outlook: an Asia focus and no target yet

The company intends to focus on Asia, targeting middle market and emerging growth companies in financial services, artificial intelligence and robotics, though it is not limited to those sectors. It will not combine with any entity based in or with principal operations in China, Hong Kong or Macau, and the prospectus calls for a target worth at least 80% of the trust assets when the agreement is signed. Fangping Zheng serves as Chairman and Chief Executive Officer, and Dan (Cathy) Jiang as Chief Financial Officer.

The latest report states that no target has been selected and no substantive discussions have begun. These are stated intentions rather than completed events.
