Legal Dispute Resolved

Greenpro Capital (NASDAQ: GRNQ) has settled a long-standing legal battle with Millennium Fine Art Inc. (MFAI) over a 2021 NFT-related contract dispute. The agreement ends litigation in Nevada state court (Case No.

A-21-840033-B) and a parallel arbitration (Ref. No. 5260000038), removing a cloud over the company’s operations.

The settlement includes no admission of liability from either party.

Financial Terms of Settlement

Under the agreement, Greenpro will pay MFAI $100,000 in cash and surrender 2,000,000 restricted shares. The shares, representing the entirety of Greenpro’s equity interest in MFAI, will be canceled upon execution of dismissal documents. The payment and share surrender close the chapter on a contentious dispute that had lingered since 2021.

The exit severs Greenpro’s last material tie to MFAI beyond the settlement.

Board Approval and Timeline

Greenpro’s board unanimously approved the settlement via written consent on June 15, 2026. The agreement was finalized and executed on June 24. The settlement also includes mutual non-disparagement and confidentiality provisions, ensuring neither party will publicly discuss the dispute.

Broader Implications for GRNQ

The resolution removes a legal overhang for Greenpro Capital, which had previously disclosed the dispute in regulatory filings. While the $100,000 payment is modest, the surrender of 2,000,000 shares eliminates a non-core asset from its balance sheet. Investors will now focus on Greenpro’s core financial services and advisory businesses.

No Ongoing Relationship

Beyond the settlement and the now-canceled equity stake, Greenpro has no other material relationship with MFAI. The agreement explicitly states that neither the settlement nor its terms imply any admission of wrongdoing by Greenpro. The company’s exit from MFAI marks a clean break from the NFT-related venture that sparked the dispute.

Next Steps for Investors

With the litigation resolved, Greenpro can redirect resources toward its primary operations. The settlement’s financial impact is limited, but the removal of legal uncertainty could improve investor sentiment. The company’s next regulatory filings will provide further clarity on its strategic direction post-settlement.
