The move reflects a strategic adjustment to the company’s debt profile amid stable Treasury yields.

The total tendered amount aligns with the $417,851,000 cap set for the repurchase.

Pricing for the notes is tied to a 5.00% U.S.

Treasury benchmark due May 15 2046, with a fixed spread of 55 basis points.

Investors who tendered before the early cutoff receive a $50 premium per $1,000 principal, a standard incentive for early participation.

The final consideration will be calculated on June 16, based on the bid-side yield of the reference Treasury.

Withdrawal rights expired at the early deadline, locking in submitted notes.

Settlement for accepted tenders is scheduled for June 18, with accrued interest paid through that date.

Wells Fargo Securities and BofA Securities are acting as dealer managers, while Global Bondholder Services Corporation serves as the tender agent.

The offers remain subject to customary conditions, though the financing condition has already been satisfied.

Arch Capital may pursue additional open-market purchases or redemptions, depending on market conditions.

The transaction underscores a broader trend of insurers optimizing debt structures as long-term rates stabilize.

The 5.144% and 5.031% coupons, issued years ago, now trade at spreads that reflect improved credit conditions.

Analysts note that such tenders often signal confidence in balance sheet flexibility, though the impact on Arch Capital’s stock (NASDAQ: ACGL) will depend on execution and future refinancing plans.
