Key Highlights

• SandRidge Energy (NYSE: SD) agreed to pay $65,000,000 cash for selected Cherokee Play assets.

• The transaction is subject to customary closing conditions and regulatory disclosures.

SandRidge Energy Inc. (NYSE: SD) announced a definitive purchase agreement to acquire oil and gas assets located in the Cherokee Play. The agreement, signed in late June, outlines a cash payment for the assets and includes provisions for additional performance-based payments.

Deal Structure

The purchase agreement transfers the sellers’ title and interest in the Cherokee Play properties to SandRidge Energy’s subsidiary, SandRidge Exploration and Production, LLC. The transaction follows standard industry practices, including representations, warranties, and covenants typical of oil and gas asset sales.

Financial Commitment

The base purchase price of $65,000,000 will be paid at closing, with funding drawn from the company’s existing cash reserves. The contract also includes three contingent earn-out payments, each tied to specific market conditions over a defined period. These payments are designed to align the total consideration with future commodity price performance.

Earn-out Mechanics

The earn-out structure is based on predefined price thresholds for crude oil. If these benchmarks are met during the specified timeframe, SandRidge Energy will make the additional payments, increasing the overall value of the transaction. This approach allows the company to share upside potential while managing initial capital outlay.

Closing Timeline

The transaction is expected to proceed once all customary closing conditions are satisfied. The timeline reflects the company’s strategic planning and operational priorities in the Cherokee Play region.

Regulatory Disclosure

SandRidge Energy issued a press release, attached as Exhibit 99.1, to disclose the agreement to investors. The filing meets regulatory requirements under the Securities Exchange Act of 1934, ensuring transparency for shareholders and market participants.

Market Perspective

The acquisition strengthens SandRidge Energy’s position in the Cherokee Play, a key producing region in Oklahoma. By expanding its asset base, the company aims to enhance its production capabilities and capitalize on favorable market conditions in the oil and gas sector. The deal underscores the company’s focus on strategic growth in established plays with proven resource potential.
