A Goodwill Impairment Behind the Swing to a Net Loss

Comscore reported results for the quarter ended September 30, 2026, on November 3, 2026. Net loss was USD 65.5 million, or USD 4.26 per share, versus net income of USD 0.5 million a year earlier. The company cited a USD 57.3 million goodwill impairment and USD 5.5 million of restructuring costs. Management ran an interim goodwill review partly because of a decline in the stock price and market Capitalization and the new realignment plan, and said the charge does not directly affect Liquidity or cash flows. Goodwill on the Balance Sheet fell to USD 127.9 million from USD 248.6 million at December 31, 2025, and stockholders' Equity fell to USD 24.4 million from USD 111.4 million. The loss from operations was USD 66.8 million.

Revenue Declines, Divestiture and the Cost-Cutting Plan

Revenue of USD 76.2 million was down from USD 88.9 million, which included USD 9.5 million from the Movies business. Content and Ad Measurement revenue fell 14.4%, or 2.1% pro forma, on lower syndicated audience and digital product revenue. Cross-Platform was flat, as lower Proximic usage offset new business in CCM, and Research and Insight Solutions fell 13.9% on lower renewals. Core operating expenses fell 8.0% to USD 79.6 million on lower compensation, data and facilities costs. The company expects USD 20 million to USD 25 million of annual run-rate savings from its realignment plan, part of which it plans to reinvest in growth. Nine-month revenue was USD 240.7 million against USD 264.0 million.

Cash Falls to USD 19.5 Million as Preferred Stock Overhang Remains

Cash, cash equivalents and restricted cash were USD 19.5 million at September 30, 2026, against USD 26.8 million at December 31, 2025, our arithmetic on the balance sheet lines. The company repaid its senior secured Credit Facility in May 2026, leaving only finance leases as debt. Restructuring payments of USD 3.0 million and strategic transaction payments of USD 1.9 million used cash in the quarter. The balance sheet still carries Series C convertible redeemable preferred stock with a Liquidation preference of USD 183.7 million, against a carrying value of USD 89.7 million. Risks flagged include trouble executing the plan, higher implementation costs, loss of non-strategic revenue and evolving restrictions on data collection. The company held its call at 5:00 p.m. ET on November 3, 2026.

Where Things Stand

The USD 65.5 million loss was mainly an accounting charge, but the underlying picture is soft. Comscore (NASDAQ:SCOR) lost USD 57.3 million to goodwill impairment, yet revenue was down 14.3% and 4.1% pro forma, Adjusted EBITDA nearly halved, and cash declined. Management reaffirmed 2026 revenue of USD 315 million to USD 325 million and an Adjusted EBITDA margin in the low-to-mid single digits, and says cost savings are on track. Investors will watch whether fourth quarter revenue supports that range, how the savings are used and how the preferred stock claim is handled.
