Broad Inflows Set Quarterly Records

Victory Capital (NASDAQ:VCTR) reported third-quarter 2026 results on November 4, 2026. Long-term net flows of USD 11.7 billion compare with USD 4.2 billion in the second quarter and net outflows of USD 0.2 billion a year earlier. Management said its U.S. intermediary, U.S. institutional and international channels each took in assets, across fixed income, solutions and global equity, with its VictoryShares exchange-traded fund platform contributing. Assets under management rose USD 9.4 billion from June 30, 2026, as net inflows were partly offset by negative market action of USD 2.2 billion. Year to date, long-term net flows reached USD 15.4 billion, versus net outflows of USD 2.1 billion in the first nine months of 2025.

Flows Did Not Fully Reach GAAP Profit

Revenue was USD 396.6 million, up 9.8% from a year earlier but down 8.9% from the second quarter, which the company linked to annual fee Crystallization in the prior quarter and client mix. GAAP Net Income was USD 91.3 million, down 5.4% year over year, and GAAP Operating Margin narrowed to 34.7% from 38.2%. Acquisition-related costs rose USD 16.2 million sequentially because of the First Eagle Investments transaction. Adjusted net income with tax benefit climbed 15.5% to USD 163.2 million. For the nine months, Revenue was USD 1,219.9 million, up 30.9%, and GAAP earnings per diluted share were USD 4.11 versus USD 2.73, helped by the Amundi US Acquisition that closed on April 1, 2025.

First Eagle Deal, Debt and Shareholder Returns

The asset manager, which runs multiple autonomous Investment franchises, announced in August 2026 a definitive agreement to acquire First Eagle Investments, expected to close by the end of the first quarter of 2027 subject to regulatory approvals and client consents. Total debt was about USD 975 million. During the quarter it returned USD 81 million to shareholders, including USD 39 million of share repurchases. The dividend is payable on December 23, 2026 to holders of record on December 10, 2026. Integration risk and market-driven asset swings remain the main variables. Average assets under management were USD 350.6 billion versus USD 303.6 billion a year earlier, while revenue realization fell to 44.8 basis points from 47.2, a headwind for fee income.

Where Things Stand

Record flows came from broad-based sales across channels and strategies rather than one product. Victory Capital (NASDAQ:VCTR) lifted assets to a record, while GAAP earnings per share stayed flat at USD 1.11 because of lower revenue than the second quarter and deal costs. Adjusted metrics looked stronger. Next markers are whether inflows persist, how asset markets move, and progress toward the First Eagle closing. The release gave no numeric earnings guidance. Revenue realization per dollar of assets also slipped. The dividend is payable on December 23, 2026.
