Werner Enterprises is a truckload transportation and logistics provider operating in the United States, Mexico and Canada, with Dedicated, One-Way Truckload and Logistics services. It acquired FirstEnterprises, known as FirstFleet, in January 2026, which generated more than USD 600 million in unaudited 2025 revenues. Werner cites 2025 revenues of nearly USD 3.0 billion, more than 14,500 associates and its Werner EDGE technology, and its Logistics services include truckload brokerage, freight management, intermodal and final mile.

What the Oct. 19 Preliminary Release Reports

Werner issued a press release on Oct. 19 with preliminary unaudited results for the third quarter ended September 30, 2026. It put total revenues at approximately USD 946 million to USD 951 million, GAAP diluted EPS at approximately 0.10 to 0.11 and non-GAAP adjusted diluted EPS at approximately 0.15 to 0.16.

The revenue estimate of USD 956.55 million is above that range, and the EPS estimate of 0.16 matches the top of the adjusted range. It is above the GAAP range of 0.10 to 0.11. The company labels all figures preliminary and unaudited.

Cost Headwinds and the Non-GAAP Bridge

The company said third-quarter results were negatively affected by approximately 0.18 per share of cumulative cost headwinds compared with the second quarter. It listed rapidly rising fuel prices, driver recruitment and retention investments and a late-quarter insurance reserve adjustment related to past claims.

The reconciliation adds 0.03 for amortization of intangible assets and 0.03 for acquisition expenses to GAAP diluted EPS, and subtracts 0.01 for the income tax effect of the adjustments. Adjustments for gains or losses on equity securities and for earnings or losses from an equity method investment are shown as zero.

The company states that it excludes amortization because management does not believe the expense is indicative of core operating performance, and acquisition-related expenses because they are not representative of the costs of managing its ongoing business. Those expenses include legal and professional fees.

What Remains Open Until the Full Report

Werner said it plans to provide additional details when it reports third-quarter results on Tuesday, Oct. 27, after the market closes. The release gives ranges rather than final figures and no segment detail, and it gives no fourth-quarter outlook. It does not quantify any of the three cost headwinds separately.

The latest filings include no second-quarter financial statements for Werner, so the comparison here is between the preliminary ranges and the estimates. The estimates table lists a market capitalization of USD 1.70 billion.

Markers for the Release

Reported revenue against USD 946 million to USD 951 million and EPS against 0.10 to 0.11 GAAP and 0.15 to 0.16 adjusted are the first comparisons. Other markers are the size of the three cost headwinds.
