Silgan Holdings Inc. (NASDAQ:SLGN) reported third quarter 2026 adjusted Earnings per diluted share of USD 1.31, above a consensus estimate of USD 1.25 and 7% higher than the prior year quarter. Chief Executive Officer Adam Greenlee described it as record adjusted EPS at the high end of the company estimated range. Net sales were USD 2.04 billion, below a consensus estimate of USD 2.10 billion, and rose 2% as higher raw material and other costs were passed through in each segment.

Total adjusted EBIT was USD 235 million, up 6%. Corporate expense, excluding announced Acquisition costs, was about USD 6 million below the prior year, partly on the Reversal of corporate development costs tied to the Trivium deal.

Segment Results Diverge

Metal Containers sales rose 1% while volumes fell 4%, with higher fruit, vegetable and wet pet food volumes offset by softer soup demand. Adjusted EBIT was USD 9 million above the prior year, helped by a more normal Volume pattern, a stable footprint after a multiyear cost reduction program and favorable price over cost. Mr. Greenlee said one soup customer raised its own prices to recover inflation, which weighed on volumes.

Dispensing and Specialty Closures sales rose 1% on flat volumes, with growth in fragrance and pharma dispensing offset by lower food and beverage volumes. Adjusted EBIT was down USD 2 million because of unrecovered Inflation that management plans to recoup through pricing over the next couple of quarters. Custom Containers sales rose 4% with volumes down 8% after the exit of lower-margin business, and the segment posted record adjusted EBIT. Management said prescription pharma dispensing grew by a double-digit percentage in North America and that healthcare is roughly a USD 250 million business.

Guidance and the Trivium Transaction

For the fourth quarter, the company guided adjusted EPS to USD 0.76 to 0.86 against USD 0.67 a year earlier, assuming adjusted EBIT USD 10 million to USD 15 million higher, interest expense of USD 45 million to USD 50 million and a tax rate of 25% to 26%. Full year adjusted EPS guidance rose to USD 3.83 to 3.93 from the prior range, a 4% increase at the midpoint versus USD 3.72 in 2025. The chief financial officer said full year free Cash Flow remains about USD 450 million, including Capital spending near USD 310 million, and projected volumes comparable to the prior year in all three segments.

The proposed Trivium acquisition is scheduled to close in mid 2027 and would create two companies, Silgan MCC and Silgan Dispensing Solutions. Management described the deal as Leverage neutral, with Dispensing Solutions starting at leverage of about 1.8 times, and said incremental Investment ahead of closing would mainly be capital spending.

Items to Follow Into 2027

Fourth quarter adjusted EPS guidance of USD 0.76 to 0.86 sets the near term benchmark, and full year free cash flow of about USD 450 million is the cash marker. The pace of cost recovery in Dispensing and Specialty Closures, where inflation recovery is projected to start flowing through in the fourth quarter and partly into the first quarter, is another. Brazil recovery is described as a 2027 story, and soup volumes are not assumed to rebound in the fourth quarter. The mid 2027 Trivium closing and the move to the Silgan MCC and Dispensing Solutions reporting structure are the dated structural items.
