Flushing Acquisition Transforms Scale of Results
OceanFirst Financial Corp (NASDAQ:OCFC) reported third quarter net income available for common stockholders of USD 16.5 million, or USD 0.17 per diluted share, compared with USD 17.3 million, or USD 0.30 per diluted share, in the third quarter of 2025. The quarter included USD 37.1 million of non-recurring merger-related expenses tied to the Flushing Financial Corporation acquisition, representing USD 29.4 million net of tax, or USD 0.30 per share.
Excluding these merger-related charges, adjusted diluted earnings per share were USD 0.48 for the quarter. The company completed its acquisition of Flushing Financial Corporation and its Flushing Bank subsidiary on June 1, 2026, with results from that date through quarter end included in the current period but absent from the prior year comparison.
Net Interest Income and Margin Expand Sharply
Net interest income increased to USD 172.1 million from USD 90.7 million a year earlier, reflecting both the net impact of the Flushing acquisition and the broader interest rate environment. Net interest margin increased to 3.18% from 2.91%, which included the impact of purchase accounting accretion of 0.16 percentage points and prepayment fees of 0.02 percentage points.
Average interest earning assets increased by USD 9.13 billion, reflecting assets acquired from Flushing combined with growth in commercial loans and securities. The average yield for interest earning assets increased to 5.57% from 5.21%, primarily due to the Flushing acquisition's purchase accounting effects and the recovery of interest income from previously non-performing positions.
One-Time Items and Capital Return
The current quarter included USD 5.5 million of non-recurring interest income related to payoffs of a non-performing investment and loan acquired from Flushing, including USD 4.0 million and USD 1.5 million of interest recoveries, respectively. These one-time benefits, alongside the merger-related expense charge, make the quarter's GAAP results less representative of the combined company's underlying run rate.
The company declared its latest consecutive quarterly cash dividend on common stock of USD 0.20 per share, payable in late November. Continued integration of Flushing's operations and the realization of anticipated cost synergies remain variables that could affect the pace at which GAAP results converge with the adjusted USD 0.48 per share figure in coming quarters.
Integration Metrics to Track
The pace of Flushing integration cost realization relative to the USD 37.1 million of merger expenses recorded this quarter, net interest margin trends relative to the 3.18% reported this period, and the trajectory of purchase accounting accretion benefits are among the items the company has flagged for investors following the completed acquisition.
