Industrial Logistics Properties Trust (NASDAQ:ILPT) reported a third-quarter 2026 net loss attributable to common shareholders of USD 30.2 million, or USD 0.46 per share, compared with USD 21.6 million, or USD 0.33 per share, a year earlier. The loss was wider than the USD 0.14 loss embedded in the consensus estimate. Rental income, the trust's only revenue line, was USD 116.8 million, up 5.3% from USD 110.9 million and slightly below a consensus estimate of USD 117.48 million.
The wider loss traces mainly to the unconsolidated joint venture, which produced an equity loss of USD 19.0 million against earnings of USD 2.2 million in the prior-year quarter. Excluding that item, the operating picture improved: the loss before taxes and joint venture results narrowed to USD 18.8 million from USD 32.6 million, helped by the absence of a USD 6.1 million real estate impairment recorded a year ago.
Property Performance and FFO
Net operating income rose 5.7% as reported, or 5.8% on a comparable basis, to USD 92.0 million as rental income growth outpaced a 3.4% comparable increase in operating expenses. The trust attributed the revenue gain to new leases at two previously vacant properties in Hawaii and Indiana, which added USD 2.9 million, along with higher real estate tax reimbursements. Interest expense eased 3.6% to USD 61.2 million, and depreciation and amortization declined 1.8% to USD 40.3 million.
Normalized FFO attributable to common shareholders reached USD 21.3 million, or USD 0.32 per share, up from USD 14.9 million, or USD 0.23. Starting this quarter the trust includes estimated incentive management fees in that measure, which reduced it by USD 0.03 per share, and the prior-year figure was recast to match. The portfolio held 409 properties with about 59.6 million rentable square feet leased to roughly 300 tenants, and 78.9% of annualized rental revenue came from investment grade tenants, their subsidiaries or Hawaii land leases.
Debt Maturities and Liquidity
Total debt stood at USD 4.221 billion in principal, all at fixed rates and with no principal due until maturities that run from 2029 to 2032. In May 2026, the consolidated joint venture obtained a USD 1.62 billion fixed rate mortgage at 5.71% due in May 2031, using the proceeds to repay a floating rate loan that had been scheduled to mature in March 2027. Management said it was in compliance with all loan covenants at September 30.
Cash and cash equivalents were USD 130.7 million, and operating cash flow for the nine months was USD 50.9 million. The trust paid USD 13.3 million of common distributions in that period from cash on hand. It said it believes its cash sources are sufficient to cover operating and capital obligations, debt service and distributions for the next 12 months and beyond, and it gave no earnings guidance in the filing.
Metrics to Track
Four data points frame the next report. The first is the equity result of the unconsolidated joint venture, which swung to a USD 19.0 million loss from a USD 2.2 million gain. The second is leasing: third-quarter leases covered 645 thousand square feet at a 162.7% weighted average rental rate change, with renewals carrying a 20.8 year weighted average term. The third is the cash position of USD 130.7 million against USD 9.9 million of committed but unspent tenant obligations. The fourth is occupancy at 98.3%, alongside Hawaii rent resets that came in 33.7% above prior rates over nine months.
