Retail Offsets Specialty Weakness

Brown & Brown (NYSE:BRO) reported on Tuesday third-quarter revenue of USD 1.725 billion, up from USD 1.606 billion, with the gain reflecting the Accession acquisition that closed on Aug. 1, 2025. Organic revenue growth was 1.2%, or 1.5% including organic contingent commissions. Net income attributable to the company was USD 240 million against USD 227 million, while diluted earnings per share were USD 0.67 against USD 0.68.

Retail organic growth was 2.6%, driven by net new business and strength in employee benefits and bond practices. Specialty Distribution organic revenue fell 0.8%, or rose 0.3% including contingents, as admitted carriers pressed on pricing and onboarding of a lender-placed program was delayed. Excess and surplus property rates fell 15% to 35% in the quarter, while primary casualty rates rose 2% to 5% and medical rates rose 9% to 11%.

Management cited a litigation-related reduction of USD 16 million in quarterly organic revenue and projects a USD 50 million to USD 60 million effect for 2026.

Margin, Synergies and Cash

Adjusted EBITDAC margin was 34.6%, down 200 basis points, mainly because interest income was USD 29 million lower than a year earlier. Nine-month revenue was USD 5.302 billion against USD 4.295 billion, and net income attributable was USD 954 million against USD 790 million.

Accession generated USD 1.7 billion of revenue in its first full year under ownership. The company now projects about USD 50 million of 2026 EBITDAC synergies, up from USD 30 million to USD 40 million, and USD 175 million of run-rate net synergies by the end of 2028, up from USD 150 million. Integration costs are projected at USD 250 million to USD 300 million over three years, plus USD 90 million of pre-funded or debt-like items expensed under GAAP.

Cash flow from operations was USD 1.1 billion over nine months, up 13%, and repurchases totaled USD 750 million, including USD 250 million in the third quarter.

Fourth-Quarter and 2027 Guidance

For the fourth quarter, management guided to Retail organic growth of 2% to 3% and a Specialty Distribution decline of 2% to 4%, both excluding contingents. Timing-related items of USD 8 million to USD 12 million affect Specialty Distribution, and contingent commissions in that segment are projected to fall USD 14 million to USD 16 million year over year on lower program profitability.

For 2027, management guided to organic growth of 2% to 4% in Retail and 1% to 3% in Specialty Distribution, excluding contingents. Chief Executive Powell Brown noted that property markets have shown unusual year-end pricing in low-catastrophe years, which is a risk to fourth-quarter revenue.

Brokerage Markers to Follow
