Aware, Inc. (NASDAQ:AWRE) reported third-quarter 2026 revenue of USD 4.4 million, down 14% from USD 5.1 million a year earlier. The decline came mainly from software licenses, which fell to USD 1.9 million from USD 2.5 million. The net loss narrowed to USD 0.8 million, or USD 0.04 per diluted share, compared with USD 1.1 million, or USD 0.05 per share, in the prior-year quarter. No consensus estimate for EPS or revenue was available for the period.
Recurring revenue climbed to USD 4.0 million from USD 3.6 million, helped by software subscriptions that rose to USD 1.8 million from USD 1.2 million. Non-recurring revenue dropped to USD 0.4 million from USD 1.6 million. Management noted that term license renewals are recognized largely upfront, so timing can swing any single quarter.
Cost Reductions and Nine-Month Picture
Operating expenses fell 17% to USD 5.4 million, reflecting actions taken earlier in 2026 that target roughly USD 4.0 million of annualized savings. The quarter was the first to carry the full benefit. Selling and marketing expense dropped to USD 1.1 million from USD 2.1 million, while research and development rose to USD 2.3 million from USD 2.1 million. Operating loss narrowed to USD 0.9 million from USD 1.3 million, and the adjusted EBITDA loss, a non-GAAP measure, improved to USD 0.5 million from USD 0.8 million.
Across the first nine months, revenue was USD 11.1 million against USD 12.6 million, and recurring revenue edged up to USD 9.6 million from USD 9.2 million. The nine-month net loss widened to USD 6.8 million, or USD 0.31 per share, from USD 4.4 million, or USD 0.21 per share. Operating expenses of USD 18.4 million included about USD 0.7 million of one-time severance, mostly in the first quarter, plus higher pay costs from 2025 hiring.
Strategy, Pipeline and Management Commentary
Chief executive Ajay Amlani said the quarter produced a new government agency customer selected to deploy Intelligent Liveness from the Awareness Platform, and a new relationship with the distributor for Adobe Acrobat Sign, with customer activity in Latin America. He pointed to higher solicitation activity for biometric identity programs since funding for most of the Department of Homeland Security was restored, while describing federal procurement timing as hard to predict. He also described revenue consistency as the priority.
For the fourth quarter, management said operating expenses would stay broadly in line with the lower cost structure set earlier this year and described a typical seasonal growth pattern with a mix of recurring and non-recurring revenue similar to the third quarter. Management gave no timeline for breakeven. Asked about Nasdaq listing requirements, the company said it is aware of them and would address them if and when the situation arises.
Metrics to Track
Four items frame the next report. Recurring revenue is first: USD 4.0 million this quarter, with management saying it can vary between periods. Operating expenses are second, at USD 5.4 million against the USD 4.0 million annualized savings target. Cash is third: USD 15.4 million, down from USD 22.3 million at the end of 2025, with a nine-month adjusted EBITDA loss of USD 6.1 million. Federal conversion is fourth, where the CEO described converting the new agency engagement into an active customer as progress and noted increased solicitation activity since Department of Homeland Security funding was restored on April 30.
